THIS IS TO CERTIFY that the interest in real property
conveyed by the deed or grant deed dated July 6, 1982
from Michael L. Ski les, K-Mart Corporation, A Michigan Corporation,
to the City of Arroyo Grande, a municipal corporation, is hereby
accepted in accordance with Resolution No. 45 , recorded the 26th
day of August, 1960, in Volume 1081, Official Records, Page 344,
San Luis Obispo County, California, and the Grantee consents to
recordation thereof.

CORPORATE GRANT DEED
K-MART CORPORATION, a Corporation organized under the laws of the State of
Michigan, with its principal place of business in the City of Troy, County
of Oakland, State of Michigan, hereinafter called GRANTOR, does hereby grant
unto the City of Arroyo Grande, in the County of San Luis Obispo, State of
California, a municipal corporation, hereinafter referred to as GRANTEE, a
perpetual easement for the construction, operation, maintenance, repair and
replacement of utilities and appurtenant structures including but not limited
to domestic water lines and storm and sanitary sewer drainage lines, together
with the right of ingress and egress to and from, over, through, and under
that certain parcel of land described as follows, to-wit:
The entire portion of land enclosed by the boundaries of Parcel A,
Parcel Map No. AG 81-108, in the City of Arroyo Grande, County of
San Luis Obispo, State of California, according to the map thereof,
recorded August 14, 1981, in Book 30 of Parcel Maps at Page 94,
Official Records of said County.
This easement shall be a covenant running with the land and shall be binding
on the GRANTOR, its agents, assigns, representatives, licensees, tenants, and
their successors.
In witness thereof, GRANTOR has hereunto caused its corporate name to be sub-
scribed, and its corporate seal to be affixed by its Vice President and its
Secretary, said officers being thereunto duly authorized by a Resolution of its
Board of Directors, on this 6th day of July , 19 82 •

CERTIFIED RESOLUTION
I, ROGER E. DAVIS, Secretary of K mart Corporation, do
hereby certify that at a meeting of the Board of Directors of the
Corporation on July 15, 1980, at which meeting a quorum was present,
the following resolution was adopted, and such resolution is in full
force and effect:
RESOLVED, that effective as of August 1 , 1980,
Michael L. Skiles, Director of Real Estate
Development, is hereby granted authority to execute
on behalf of this corporation any and all contracts,
deeds, mortgages, leases or other documents, in
connection with real estate development.
