A s R E E M E N T THIS HGRE��Pv'T entered into this� of �� , 1952, by s�nd between the CITY of ARROYO GRANDE, a municipal cor- poration, hereinafter desiganted as the CITY, and T?3E WOP�AN'S CLUB of ARROYO GRANDE, hereinafter designated as the CLUB. W I T N E S S E T H: In consideration of the sum of Twenty-five ('�'25•00) Dollar4_ to it in hand paid, the City has by Urant veed conveyed to the Club the hereinafter described real property, said convey,�nce being sub- ject to the provisions of this APreement, to-wit: Tha Club having heretofore represented to the City that the purchase of said property was for the purpose of enablin� the Club to construct thereon a building for club use, but which also would be open and available for various suitable corrnnunity projects. It is agreed that the �lub will commence and substantially complete the construction of the proposed club house on said pro- perty within a period of ten 110) years of the date of tnis �igree- ment. In the event that the Club has not substantially completed the erection of the proposed club house on s�id property within ten (10) years from the date of this A�reement the City of erroyo �rande shall thereupon have the ri�t to demand substantial com- pletion of the proposed clubhouse within a period of 180 dwys from the date of service of notice of such demand. EXTENSION AGREEMENT THIS AGREEMENT entered into this 23rd day of April, 1968, by and between the CITY OF ARROYO GRANDE, a Municipal Corporation, hereinafter desianated as CITY, and the WOMAN°S CLUB OF ARROYO GRANDE, hereinafter designated as CLUB. W I T N E S S E T Ii: For a valuable consideration, receipt o£ which is hereby acknowledged, the CITY agrees to and by this agreement does herewith extend the term within which it shall have the right to demand substantial completion of the construction by the CLUB of the clubhouse mentioned in that agreement between the parties dated April 28, 1952 for an additional ten (10) years period or until the 28th day o£ April, 1978, subject to� extension at that time. In the event that the CLUB has not substantially completed the erection of the proposed clubhouse on the property here- inafter described by that time, the CITY shall thereupon have the right to demand that the CLUB substantially complete the proposed clubhouse within a period o£ 180 days thereafter or by not later than the 25th day of October, 1978. In the event that the CLUB has not substantially completed said proposed clubhouse by the 25th day of October, 1978, the property hereinafter described shall revert to the CITY. Substantial completion as herein used shall mean that said building shall be at least 95% completed including everything but furniture and furnishings therein. The CLUB also agrees that after completion of said clubhouse, that if it desires to dispose of its interest in and to the real property hereinafter described and the clubhouse located thereon, that it will give the CITY the first option of purchasing said property, and that it may \` � only dispose of said property to others in the event that the said CITY fails or refuses to exercise its option herein granted for a period of ninety (90) days after written demand thereof has been served upon it by the CLUB. IT IS UNDERSTOOD AND AGREED that the CLUB shall not have the right to dispose of the said property prior to the completion of the clubhouse as hereinabove set forth. In the event that it does not want to proceed with the said clubhouse, it shall surrender the property to the CITY forthwith. The real property herein referred to is described as follows: That real property in the City of Arroyo Grande, County of San Luis Obispo, State of California, described as follows: All that property situated in the City of Arroyo Grande, County of San Luis Obispo, State of Calif- ornia, known as the Valley View Tract, Lots l, 2, 3, 4, and 5 in Block 3 and the Southerly 25 feet of Lots 1, 2, 3 and the Easterly 100 feet of Lot 4, in Block 4, and that portion of Wilton Place lying between the above described properties.
