IRREVOCABLE AND PERPETUAL OFFER TO DEDICATE
OPEN SPACE EASEMENT
This OFFER TO DEDICATE made this 22nd day of December 1999, by Castlerock
Development, a California Corporation, ("Offeror") herein.
1. Offer of open-space easement. Offeror hereby offers to the public and the City, an
inevocable and perpetual open-space easement in and over Lots 223 and 224 ("Subject Property") of
Tract 1834 LJNIT 5, according to the map filed for record in the office of the County Recorder of
San Luis Obispo County, California, on DeCember 2B , �9qq , in Book � of maps at
Page 3 (Subdivision Map).
2. Restrictions on use of the Subject Propertv. No structures, grazing, grading, filling or
vegetation removal shall be permitted, except as may be required for City-approved trails,
walkways, drainage facilities or other City-approved infrastructure; or as authorized by the joint
approval of the Highlands at Rancho Grande Homeowners Association and/or the Offeror, and the
City.

CONSENT OF LIENHOLDERS AND SUBORDINATION OF LIEN
The undersigned Beneficiary under that certain Deed Of Trust dated December 6, 1999, recorded
December 10, 1999, as Recorder's Series No. 1999-085658, of Official Records of San Luis Obispo
County, California, consents to all of the provisions contained in the attached IRREVOCABLE AND
PERPETUAL OFFER TO DEDICATE OPEN SPACE EASEMENT, hereinafter referred to as "Offer",
executed by Castlerock Development, a California Corporation, as Offeror. Beneficiary also agrees that the
lien of the above-referenced Deed of Trust shall be junior and subordinate and subject to the Agreement.
