THIS SUBORDINATION AGREEMENT is made and entered into this 3rd day of June,
1998 by and between LEVON FIVE CITIES, LLC, a California Limited Liability company,
hereinafter referred to as the `Beneficiary," and AGRA FIVE CITIES, LLC, a California Limited
Liabiliry Company, hereinafter referred to as the "Trustor." The undersigned Beneficiary under Deed
of Trust dated October 29, 1997 and recorded on November 13, 1997, as Document Number 1997-
064574 of the Official Records in the Office of the County Recorder of the County of San Luis
Obispo, State of California, encumbering the real property described in Eachibit A attached hereto
and incorporated by reference herein as though set forth in full, hereby acknowledges the Irrevocable
and Perpetual Offer to Dedicate an Easement for Drainage Purposes and Incidental Uses and the
Irrevocable and Perpetual Offer to Dedicate an Easement for Sewer Purposes and Incidental Uses,
both of which are dated May 21, 1998, and executed by ESJ CENTERS, LLC, a California Limited
