LAND LEASE AGREEMENT WITH NEW CINGULAR WIRELESS (A
SUBSIDIARY OF AT&T MOBILITY)

RECOMMENDATION:
It is recommended that the City Council approve the Second Amendment to the Land
Lease Agreement ("Lease") with New Cingular Wireless PCS, LLC ("New Cingular"),
a subsidiary of AT&T Mobility, for the operation of a telecommunications facility
located at 1275 Ash Street.
IMPACT ON FINANCIAL AND PERSONNEL RESOURCES:
New Cingular is a subsidiary of AT&T Mobility. New Cingular currently pays $24,000
per year under the Lease. The proposed Second Amendment will increase the
annual revenue by $6,000 per year. In addition, rent is increased automatically on the
first day of every five year term renewal by fifteen percent (15%) of the rent for the
previous year. Also, ·New Cingular will pay a one-time administrative fee of $1,000 for
the City's transactional costs associated with the preparation and processing of the
Second Amendment.
BACKGROUND:
On May 23, 2006, the City entered into a Lease with New Cingular for the installation
of telecommunication antennas on a seventy foot tall City-owned light standard and
for telecommunications equipment located on the ground, contained within a 480
square foot Lease area located at 1275 Ash Street (Soto Sports Complex). A First
Amendment to the Lease was entered into as of February 22, 2011. The First
Amendment modified the term of the Lease such that the Lease has an initial five
year term commencing March 1, 2011. The Lease then automatically extends for four
additional five year terms, unless New Cingular terminates the Lease at the end of
the then current term. The First Amendment also made clarifications to the rent
provisions.

On May 2, 2006, the Planning Commission adopted Resolution No. 06-1998
approving Conditional Use Permit No. 05-016 allowing New Cingular to install
telecommunication antennas on the City-owned light standard and to place nine
outdoor equipment cabinets located within the Lease area.
ANALYSIS OF ISSUES:
The Lease allows New Cingular to replace, repair, add or otherwise modify its
equipment subject to site and design approval by the City. AT&T Mobility recently
contacted the City and indicated that they would like to amend the Lease to allow
them to remove the existing six panel antennas on the existing City-owned light
standard and install six new panel antennas, twelve new remote radio units and two
new surge suppressors on the light standard. In addition, they propose to add new
equipment cabinets within the Lease area. The improved facility will provide
enhanced signal coverage from other AT&T wireless facilities in the immediate
region, and improve mobile telephone coverage to the public.
In exchange for the modifications requested, AT&T Mobility has agreed to increase
the rent under the Lease by $500 per month. In addition, AT&T will pay a one-time
administrative fee of $1,000.
On May 21, 2013, the Planning Commission approved a resolution amending
Conditional Use Permit No. 13-001, filed by AT&T Mobility, to make the requested
modifications discussed above. As conditions of approval, AT&T must perform the
following mitigation measures:
1. The color of the antennas shall match the light standard.
2. The Lease equipment area shall be cleared of weeds and a weed barrier
installed. New rock shall be installed to fully cover the weed barrier.
3. The signage on the front gate of the Lease equipment areas shall be replaced.
4. The geo-textile grid/drainage structure originally installed for the project shall
be replaced.
5. The rust on the light pole shall be removed and treatment applied to impede
future rusting. The light pole shall be repainted with a similar color as existing.
6. The galvanized sheet metal casing over the ground equipment located at the
base of the pole shall be replaced and repaired.
An additional condition of approval requires AT&T Mobility to amend the Lease with
the City to include the facilities and improvements approved in Amended Conditional
Use Permit No. 13-001.

ALTERNATIVES:
The following alternatives are presented for consideration:
1. Approve the Second Amendment and authorize the City Manager to
execute it on behalf of the City;
2. Reject the Second Amendment; or
3. Direct staff to negotiate alternate terms with regard to the Second
Amendment.
ADVANTAGES:
The proposed modifications will provide faster service and enhanced coverage for
AT&T customers within our area. Implementation of the conditions imposed on the
modifications will significantly improve the overall look of the telecommunications
facility. In addition, cell tower leases represent a significant revenue source to the
City. Therefore, it is in the best interest of both the City and AT&T Mobility to approve
the Second Amendment to the Lease.
DISADVANTAGES:
No disadvantages have been identified.
ENVIRONMENTAL REVIEW:
In accordance with the California Environmental Quality Act ("CEQA") Guidelines,
staff conducted an Initial Study and a Mitigated Negative Declaration ("MND") for
Amended Conditional Use Permit 13-002 was adopted by the Planning Commission.
PUBLIC NOTIFICATION AND COMMENTS:
The agenda was posted in front of City Hall on Thursday, June 20, 2013 and on the
City's website on Friday, June 21, 2013. No comments were received.

SECOND AMENDMENT TO LAND LEASE AGREEMENT
THIS SECOND AMENDMENT TO LAND LEASE AGREEMENT ("Second Amendment"), dated as of
the latter of the signature dates below ("Effective Date"), is by and between the City of Arroyo Grande, a municipal
corporation formed under the laws of the State of California, having a mailing address of 300 East Branch Street,
Arroyo Grande, CA 93420 ("Lessor") and New Cingular Wireless PCS, LLC, a Delaware limited liability company,
having a mailing address of 12555 Cingular Way, Suite 1300, Alpharetta, GA 30004 ("Lessee")-
WHEREAS, Lessor and Lessee entered into a Land Lease Agreement dated May 23, 2006, as further
amended by First Amendment to Land Lease Agreement dated February 22, 2011, whereby Lessor leased to Lessee
certain Premises, therein described, that are a portion of the Property owned by Lessor, located at 1275 Ash St,
Arroyo Grande, CA 93421, to allow Lessee to install, operate and maintain a telecommunications site and related
appurtenances ("Agreement"); and
WHEREAS, Lessor and Lessee desire to further amend the Agreement to allow Lessee to modify its
telecommunications equipment and use additional antenna space on Lessor's light standard; and
WHEREAS, Lessor and Lessee desire to adjust the Rent in conjunction with the modifications to the
Agreement contained herein; and
WHEREAS, Lessor and Lessee, in their mutual interest, wish to amend the Agreement as set forth below
accordingly_
NOW THEREFORE, in consideration of the foregoing and other good and valuable consideration, the
receipt and sufficiency of which are hereby acknowledged, Lessor and Lessee agree as follows:
1. Modifications. Lessor agrees to allow Lessee to remove the existing six panel antennas on the existing
City-owned light standard and install six new panel antennas, twelve new remote radio units and two new surge
suppressors on the City-owned light standard and to add two new equipment cabinets within the lease Premises, in
accordance with the plans and specifications in Exhibit "B-1" attached hereto and incorporated herein by this
reference.
2. Rent. Commencing on the first day of the month following the date that Lessee commences construction of
the modifications set forth in this Second Amendment and more particularly described in the attached Exhibit "B-1,"
Rent shall be increased by Five Hundred and Noll 00 Dollars ($500.00) per month, subject to further adjustments as
provided in the Agreement.
3. Administrative Fee. Within thirty (30) days after the Effective Date, Lessee will pay to Lessor as
additional consideration a one time administrative fee of One Thousand Dollars ($1,000) for City transactional costs
association with the preparation and processing of this Second Amendment.
4. Other Terms and Conditions Remain. In the event of any inconsistencies between the Agreement and
this Amendment, the terms of this Amendment shall control. Except as expressly set forth in this Amendment, the
Agreement and First Amendment are otherwise unmodified and remain in full force and effect. Each reference in
the Agreement and First Amendment to itself shall be deemed also to refer to this Amendment.

5. Capitalized Terms. All ·capitalized terms used but not defined herein shall have the same meanings as
defined in the Agreement.
