CC 2016-04-12_12b Review FCFA JPA MEMORANDUM TO: CITY COUNCIL FROM: DIANNE THOMPSON, CITY MANAGER SUBJECT: REVIEW OF THE FIVE CITIES FIRE AUTHORITY (FCFA) JOINT EXERCISE OF POWERS AGREEMENT DATE: APRIL 12, 2016 RECOMMENDATION: It is recommended the City Council review, discuss, and provide direction to Mayor Pro Tem Harmon, the Council appointee to the FCFA Board, regarding potential revisions to the Joint Exercise of Powers Agreement. IMPACT TO FINANCIAL AND PERSONNEL RESOURCES: There is no fiscal impact from this action. BACKGROUND: The Five Cities Fire Authority was established on July 9, 2010 as a Joint Powers Authority. The Joint Exercise of Powers Agreement was approved by each of the three member entities – the City of Arroyo Grande, the City of Grover Beach, and the Oceano Community Services District. ANALYSIS OF ISSUES: The current agreement was determined to be the appropriate document to establish the new Fire Authority; however, it is advisable that such agreements be reviewed and that amendments are considered from time to time. The Five Cities Fire Authority Board is requesting the member agencies consider such amendments as contained in Attachment 1 at this time. ALTERNATIVES: The following alternatives are provided for the Council’s consideration: 1. Provide direction to Mayor Pro Tem Harmon, the Council appointee to the FCFA Board, regarding potential amendments to the JPA agreement; 2. Do not provide direction regarding potential amendments to the JPA agreement; or 3. Provide direction to staff. The Agreement for over five years has been the principal authority by which the organization has operated. The Board of the Authority has recommended the member agencies consider certain amendments to the Agreement. This Term Sheet (“the Term Sheet”) contains the basic terms to be included in any future amendment to the Agreement. The Term Sheet is intended to function as a base for each agency’s discussions, deliberations and direction to the Board as to the proposed changes or any modifications thereto. The proposed amendment to the Agreement is subject to the three member agencies concurring as to this Term Sheet or any approved modifications and unanimously approving a formal amendment to the Agreement. Upon finalization of an amendment, that will be submitted to the State of California, Secretary of State’s Office. It is understood that this Term Sheet does not constitute a binding contract, and that the parties do not intend to be legally bound, unless and until a definitive amendment to the Agreement is presented to each member agency’s governing body and is approved a executed by each agency. GENERAL RECOMMENDED TERMS FOR MODIFICATION: Section 4. D. (6) New Members Develop language that would define how additional members to the Authority can be added. Consideration should be given to whether the vote of the existing members must be unanimous or a simple majority vote for approval. Recommend development of process for adding additional members. Section 4. E. (7) Legal Counsel Currently under the Agreement, legal counsel of the City of Grover Beach is designated primary legal counsel for the Authority. The proposed modification is to amend the Agreement to authorizelegal counsel for the Authority be hired or fired by the Board. The intent is to allow the Board complete control over the hiring of legal counsel for the Authority. Section 5. B. Collection of Fees This section of the Agreement empowers the Authority to set fees and collect the revenue for services provided by the Authority. Clean up language is being proposed to clarify that any fees set and collected for services performed by the Authority would be retained by the Authority for those services rendered not by the member agencies. Section 8. A. Building Ownership Item 12.b. - Page 5 This section does not grant any ownership of facilities to the Authority unless acquired by the Authority subsequent to the establishment of the Agreement. Currently, each member agency owns each facility occupied by the Authority. This amendment would define within this section that the Authority shall occupy the subject facilities without incurring any rent or utility payments. Section 8. B. (2) Major Pieces of Apparatus and Capital Equipment This section allows for the Authority to replace major pieces of equipment but suggest that is tied to the budget process. This amendment would develop language to clarify that the Authority can purchase any additional major pieces of apparatus or capital equipment anytime during the fiscal year and not just at the beginning of the fiscal year when the budget is prepared. GENERAL RECOMMENDED TERMS FOR MODIFICATION: Section 9. Costs and Administration This proposed amendment considers changes to the contract of services between the Authority and the cities of Arroyo Grande and Grover Beach. This proposed change to this section of the Agreement would suggest updating the subject agreements to make them current with existing practices and to consider the Authority assuming some of the contract services now provided by the subject member agencies. This has to do with the “strategic” discussion point focused on making the Authority more independent from the member agencies. Section 9. C. Invoicing and Payments The Agreement currently requires the City of Arroyo Grande to bill the member agencies on a quarterly basis for their funding share of the Authority’s on going costs as defined in Exhibit “B” of the Agreement. A component of the funding formula is based upon population. There appears no widely accepted methodology to calculate population for the Oceano CSD during non-census years. The elimination of this formula component is recommended. Exhibit B. 3. Funding Formula This allocation, reflecting 25% of funding, is a fixed amount based on staffing levels by each member community. While this perhaps assisted in the development/launch of the Item 12.b. - Page 7 Authority, it now provides an inconsistent staffing level which is impacting service delivery (Arroyo Grande and Grover Beach each provide: (1) Captain, (1) Engineer, (1) Reserve Firefighter per shift while Oceano provides: (1) Captain, (1) Reserve Firefighter. It is recommended that all stations (who respond into neighboring communities) be staffed with a total of three (3) personnel per shift. This component of the funding formula should be evaluated for potential deletion. Exhibit B. Equal Split in Funding Formula It has been proposed for consideration to eliminate the existing funding formula and consider an equal split of the fixed administrative costs for the Authority. This amendment to the Agreement would eliminate the current funding formula and each member agency would bear an equal distribution of the on going costs of the Authority. Item 12.b. - Page 8 STAFF REPORT TO: CHAIR AND BOARD MEMBERS FROM: STEPHEN C. LIEBERMAN, FIRE CHIEF / EXECUTIVE OFFICER SUBJECT: POTENTIAL MODIFICATIONS TO EXISTING JOINT EXERCISE OF POWERS AGREEMENT DATE: JANUARY 15, 2016 RECOMMENDATION: It is recommended that the Board provide staff direction related to modifications to the existing agreement between the communities of Arroyo Grande, Grover Beach and Oceano. FINANCIAL IMPACT: There exist potential fiscal impacts to each community dependent on changes to the agreement including facilities and the cost sharing formula. BACKGROUND: The Five Cities Fire Authority (FCFA) was created in June 2010 by agreement of the communities of Arroyo Grande, Grover Beach and Oceano. In the five years since the inception of the agreement, both staff and community representatives have identified opportunities to modify the existing agreement to better serve current and future needs of the Authority. As stated in Section 16 (Amendment of Agreement, page 14), any revision to the existing document will require a resolution of approval from each member community prior to Board adoption. Based on feedback from the Board and staff review, the sections listed below have been identified for discussion and subsequent direction. Staff would welcome Board input on items that are not included in the following list:  Employee of Authority (Section 1D, Page 3) This is the first mention that employees of the FCFA are actual employees of the City of Arroyo Grande but "assigned" to the FCFA. There has been conversation focused on making the FCFA "independent," of the member communities. Additional research would be required to identify both the process and potential consequences (related primarily to retirement and insurance) of transitioning to an independent FCFA employee pool (Payroll, Human Resources, Benefits).  Voting (Section 4C5, Page 5) The section states, "All decisions made by the Board related to the Authority require a majority vote of the Board, except for decisions related to the budget, labor relations agreements and any unbudgeted non-emergency contract for services that exceeds $75,000, which decisions shall require a unanimous vote of the Board for approval." Based on past comments, staff is presenting this requirement for additional discussion and direction. Item 12.b. - Page 9 FIVE CITIES FIRE AUTHORITY BOARD OF DIRECTORS POTENTIAL MODIFICATIONS TO EXISTING JOINT EXERCISE OF POWERS AGREEMENT January 15, 2016 PAGE 2  Board Referral to Jurisdiction Governing Councils and Board of Directors (Section 4D6, Page 6) Staff has identified this section for discussion and direction. There exists no clear methodology to allow another community to request participation in the FCFA.  Officers of the Board (Section 4E, Page 6) Treasurer (4, Page 7) - The document identifies the Administrative Services Director of Arroyo Grande as the Treasurer of the FCFA, having custody of all the money of the Authority. Related to the concept of an "independent" FCFA, staff has identified this section for Board deliberation. Legal Counsel (7, Page 7) - The document states that the City Attorney of the City of Grover Beach is designated primary legal counsel to the FCFA. The existing operating budget of the FCFA includes funding for legal counsel. These services are currently being provided by Mr. David Hale. Additionally, section 5C (page 8) states that the Authority is authorized to enter into contracts for services with professionals including attorneys. Staff is requesting the Board consider modifying this section to state that the FCFA will retain legal counsel independently of the member communities.  General Powers (Section 5B, Page 8) This section authorizes the FCFA to set fees for services provided by the Authority. After five years of operation, fees for services provided by the Authority are not consistently being provided to the FCFA, rather member communities are retaining these fees. As part of the master fee schedule review, and further development of a fire prevention bureau, staff would ask for Board support in ensuring a transition of these fee related revenues to the Authority.  Ownership of Buildings, Apparatus and Equipment (Section 8A, Page 11) Buildings - This section clearly states that the member communities will continue to retain ownership and responsibility for the fire stations. What the section does not clearly state is whether the member jurisdiction or the FCFA are responsible for utilities. Additionally, rent has been paid to the Oceano Community Services District, but no mention of that obligation is included in this section. Given that the Grover Beach station does not have a dedicated electrical or water meter, staff would support eliminating utility billing for all three stations.  Major Pieces of Apparatus and Capital Equipment (Section 8B(2), Page 11) This section states that replacement of apparatus and capital equipment "shall be generally be accomplished as part of the budget and shall be in keeping with the allocation formula." Staff recommends the deletion of this budget processing reference as purchases may need to be considered after the budget is adopted.  Costs and Administration (Section 9B, Page 12 / Exhibit A, Page 17) This section alludes to provision of administrative support services between the communities as detailed in Exhibit A. As included in the agreement, member communities providing these support services are entitled to deduct the related costs from their funding contributions. Item 12.b. - Page 10 FIVE CITIES FIRE AUTHORITY BOARD OF DIRECTORS POTENTIAL MODIFICATIONS TO EXISTING JOINT EXERCISE OF POWERS AGREEMENT January 15, 2016 PAGE 3 Fixed costs within the current FCFA operating budget include line items such as office supplies and equipment, technology/telecommunications, and salary and benefits for the following positions: - Fire Chief / Executive Officer - Battalion Chief (2) - Administrative Assistant / Clerk to the Board - Office Assistant Staff would ask the Board to discuss/deliberate on the concept of allocating fixed costs on an equal basis, rather than using the cost sharing formula. Additionally, staff is looking for direction from the Board related to the concept of "independence." Personnel (Exhibit A1, page 17) - As previously mentioned in this staff report, all personnel working for the Authority are employees of the City of Arroyo Grande. All payroll, benefits, workers compensation matters are administered by Arroyo Grande. Legal Services (Exhibit A2, page 17) - As stated above, staff supports a change to this section as funding for legal services already exists in the FCFA operating budget. This would allow autonomy in retaining legal counsel for the FCFA. Finance (Exhibit A3, page 18) - The City of Arroyo Grande provides payroll, accounts payable and accounts receivable services, along with financial reporting to the FCFA.  Agreement for Contract Services - Grover Beach This agreement dated July 9, 2010 expands the services provided by Grover Beach to the FCFA. The original document included the services of the Grover Beach City Attorney, and this document also includes Fleet Mechanic and Human Resources support. The Human Resources support is limited to "research and interpretation of federal, state and local rules and regulations as they relate to the work place and the options available to the Fire Chief for the development and implementation of progressive discipline plans and approaches." FCFA utilizes outside contractors for fleet maintenance, and the Grover Beach Human Resources Manager has been used once in the past 12 months for disciplinary related consultations.  Agreement for Contract Services - Arroyo Grande This agreement dated July 13, 2010 clarifies and expands the services provided by Arroyo Grande to the FCFA. This document specifically includes services for: - Accounts Payable - Payroll Services - General Accounting Services - Personnel (Human Resources) Services - Information Technology  Funding Formula (Exhibit B, Page 19) During the 2014/2015 budget preparation process, there was interest from the member communities to review the funding formula, and to potentially revise the components. Staff has reviewed the current formula components, and would look to the Board for discussion and direction related to: Item 12.b. - Page 11 FIVE CITIES FIRE AUTHORITY BOARD OF DIRECTORS POTENTIAL MODIFICATIONS TO EXISTING JOINT EXERCISE OF POWERS AGREEMENT January 15, 2016 PAGE 4 Population - Arroyo Grande and Grover Beach are incorporated municipalities. Oceano is a Community Services District. During "non-census years," the California Department of Finance only provides population data for cities and counties. Given that the formula is supposed to be calculated on an annual basis for cost sharing purposes, a methodology to estimate Oceano's population must be adopted as a component of the agreement. As an alternative, this component of the formula could be eliminated. Fixed Allocation - Arroyo Grande and Grover Beach staff six career personnel at each fire station (Captain and Engineer on each shift), while Oceano staffs three career personnel (Captain on each shift). For consistent service levels and to increase firefighter safety, staff would prefer a consistent staffing level at all fire stations. Staff would like to receive feedback on the items detailed in this report, and return to the February 19, 2016 meeting with a "terms sheet," of potential changes that could be shared with each member community. ALTERNATIVES: The following alternatives are provided for the Board’s consideration:  Provide feedback and direct staff to return with a "terms sheet" of proposed changes to the agreement at the February 19, 2016 meeting;  Take no further action  Provide other direction to staff Attachments: 1. Five Cities Fire Authority - General Counsel Services Agreement Item 12.b. - Page 12 STAFF REPORT To: CHAIR AND BOARD MEMBERS From: STEPHEN LIEBERMAN, FIRE CHIEF DAVID HALE, GENERAL COUNSEL Subject: CONSIDERATION OF APPROVAL OF TERM SHEETS THAT DEFINE POTENTIAL MODIFICATIONS TO THE JOINT EXERCISE OF POWERS AGREEMENT Date: February 19, 2016 RECOMMENDATION: This agenda item is being brought to the Board in light of the direction received by staff at the Board’s January 15, 2016 meeting to develop term sheets that would identify potential modifications to the Joint Exercise of Powers Agreement (“Agreement”). Staff recommends the Board approve the attached term sheets and give direction to staff to proceed to disseminate them and initiate discussions with the Authority member agencies related to the subject modifications. IMPACT TO FINANCIAL AND PERSONNEL RESOURCES: There is currently no material fiscal impact to the Authority by the approval of the attached term sheets. BACKGROUND: The Authority was created on or around June 7, 2010 by the establishment of the Joint Exercise of Powers Agreement entered into by the Authority’s three member agencies. The Authority is formed consistent with California Government Code, sections 6500, et seq. Since the Authority has been in existence for over five years, staff is proposing to the Board consideration of a number of modifications to the Agreement that is believed to enhance operations, efficiencies and assure continued seamless operations of the organization. The Authority’s member agencies have the ability consistent with Section 16 of the Agreement, “Amendment of Agreement” to supplement, amend, modify or change the Agreement. The member agencies would each have the ability to review, deliberate and approve or reject the proposed changes. Upon agreement by all of the member agencies to the changes contained within the attached term sheets, staff upon approval of the Board, will submit an amendment to the Agreement to each of them for approval and signature. The term sheets are intended to focus the member agencies on those areas of the Agreement that staff recommends being changed based upon five plus years of operational experience. The attached term sheet, identified as Exhibit “A” represents immediate changes proposed by staff and considered appropriate for immediate approval by the member agencies. The second term sheet contains those items more appropriately considered in the long range strategic planning goals and is identified as Exhibit “B”. Item 12.b. - Page 13 CONCLUSION: Staff is requesting the Board approve the attached term sheets, Exhibit A and B, and give direction on the process for dissemination to the member agencies. Page 19 2 Legal Notice All meetingsofthe Board shall be called noticed held and conducted subject to the provisions of the Ralph M Brown Act Chapter 9 of Part 1 of Division 2 of Title 5 of the Government Code of the State of California Sections 54950 54961 oranysuccessor legislation hereinafter enacted 3 Minutes TheSecretaryoftheAuthority shall cause minutes of all meetingsof the Board tobe kept and shall as soon as possible after each meeting cause a copy of the minutes tobe forwarded to each member of the Jurisdictions governing Board of Directors or Council 4 Quorum Allthree voting members or their alternates of the Board shall constitute a quorum for the transaction of business except that less than a quorummay adjourn meetings from time to time 5 Voting All decisions made by the Board related to the Authority require a majority vote of the Board except for decisions relating to the budget labor relations agreements and any unbudgeted non emergency contract for services that exceeds 75000 which decisions shall require a unanimous vote of the Board for approval D Board Referral to Jurisdiction Governing Councils and Board of Directors 1 In order to refer a matter to theJurisdictions governingCouncilsand Board of Directors a majority of Board members must vote to do so provided however that the Board may reconsider at any time any matternot receiving majority votes to refer Referred matters shall be approved by a majority of the member Jurisdictions 2 The Board shall annually consider the following thebudget which shall consist of the cost allocation plan service goals and performance standards From time to time the Board shall consider any laborrelations agreement 3 The Board shall adopt as necessary Employer EmployeeRelations Procedures and Personnel Rules and Regulations applicable to the Authority City of ArroyoGrande Personnel Regulations and other policies and procedures shall apply to the Authority and its employees until replacement regulations policies and procedures are adopted by the Authority 5 Item 12.b. - Page 20 4 For meet and confer purposes notwithstanding the factthat Authoritys employees are City of ArroyoGrande employees the Boards members may consult with their respectiveJurisdiction governing Councils and Board of Directors throughoutthemeet and confer process The Board and its designated staff negotiators shall negotiate with exclusively recognized employee organizations 5 As part of approving an overall compensation plan for its management employees theArroyo Grande City Council after receiving the decision of the Board shall approve that portion of the Authority managementcompensation planthatincludes the Fire Departmentmanagement employees The Jurisdictions governing Councils and Board of Directors maymeet in closed sessions for the purpose of providing input to the Board regarding the terms of Compensation for Authority employees 6 Governing Councils and Board of Directors must approveaddition ofany new members to the Authority E Officers of the Board 1 The officers of theAuthority shall be the Chair and Vice Chair and Secretary 2 The Fire Chief shall be theExecutiveOfficer of the Authority and shall be responsible for implementingthedecisions of the Board and shall be responsible forthe operations and general management ofthe Authority The Fire Chief willbe appointed by the Boardandbe responsible to the Board TheFire Chief willbeanatwill employee of the Authority and shall a Direct all subordinate employees b Be responsible for the appointment andremoval of Authority employees c Attend all meetings of the Board unless excused there from d Develop and distribute to the Board agendas for all Board meetings e Promulgate and implement administrative regulations f Perform such other duties and exercise such otherpowers as may be delegated by theAuthority Board 6 Item 12.b. - Page 21 g Have authority to approveexpenditures of up to 50000 without Boards approval 3 The Fire Chief may consult with the managers ofthe City of GroverBeach the CityofArroyo Grande and the Oceano Community Services District The Managersmaymeet fromtime to time attheir own volition or at the request of the Board to consult and discussmatters that are of importance tothe administration and operation ofthe Authority The Managers may make recommendations to the Board regarding these matters 4 The Director ofAdministrative Services ofArroyo Grande is hereby designated as Treasurer of the Authority The Treasurer is designated as the depositary of the Authority to have custody of all themoney of the Authority from whatever source and as such shall have the powers duties and responsibilities specified in Section 65055 of the Act 5 The Treasurer of the Authority is designated as the public officer or person whohas charge of handles or has access to anyproperty of the Authority and such officer shall file an official bond in the amount of 25000 as required by Section 65051 ofthe Act provided that suchbond shall not be required if the Authority does not possess or own property or funds with an aggregate valueofgreaterthan 50000 6 The Fire Chief or hisher designee shall serve as Secretary to the Board 7 TheCity Attorney of Grover Beach is designated primary legal counsel to the Authority andby executing this Agreement all of theJurisdictions on behalf of the Authority andCity of Grover Beach on its own behalf acknowledge that they havebeen advised ofthe nature and consequences of a potential conflict of interest inherent in representation of more than one client and have agreed to wave such potential conflict The City Attorney of Grover Beach will also serve as the General Counsel for the Authority thus representing two clients connected by this Agreement In the event that a situation arises where a conflictbecomes potential or actual the City AttorneyGeneral Counsel will advise both clients of such conflictand withdraw from representing either in connection with the situationgiving riseto the conflict 7 Item 12.b. - Page 22 SECTION 5 GENERALPOWERS The Authority is authorized in its own name to do all acts necessaryfor the exercise of said powers for said purposes Except as otherwise provided herein such power shall be exercised subject only to such restrictions upon themannerof exercising suchpower as are imposed upon Arroyo Grande in the exercise ofsimilar powers as provided in Section 6509 of the Act TheAuthority shall have thepower in its own name to exerciseany and all common powers of its Members reasonably related to thepurposes of the Authorityincluding butnotlimited to the powers to A Seek receiveand administer funding from any available public or private source including grants or loans underany available federal state andlocal programsfor assistance in achievingthepurposes of the Authority B Set fees and collect and maintain fee revenue for servicesprovided by the Authority such services mayinclude butare not inclusive of apartment inspections firework permits or weed abatement C Contract for the services of engineers attorneys planners financial and other necessary consultants D Make and enter into any other contracts including to provide services outside of its Jurisdictions boundaries if otherwise allowed by law E The authority may enter into a supplemental agreement to provide services to a member agency that is notprovided to all Authority members for an agreed upon fee Such servicesmayinclude butare not exclusive of code enforcement fireprotection services and plan check services F Employ agents officers and employees 8 Item 12.b. - Page 23 G Acquire lease construct own manage maintain dispose of or operate subject to the limitations herein any buildings works or improvements H Acquire hold manage maintain ordispose of any other property by any lawful means includingwithoutlimitation gift purchase eminent domain lease lease purchase license or sale I Incur all authorized debts liabilities and obligations including issuance andsale of bonds notes certificates of participation bondsauthorized pursuanttothe Marks Roos Local Bond Pooling Act of 1985 California Government CodeSections 6584 et seq as it now exists or may hereafter be amended orany other legal authority common to theMembers and suchother evidences of indebtedness subject to the limitations herein J Receive gifts contributions and donations of property funds services and other forms of financial or other assistance from any persons firms corporations or governmental entities K Sue and be sued in its own name L Seek the adoption or defeat of any federal state or local legislation or regulation necessary or desirable to accomplish the stated purposes and objectives of the Authority M Adopt rules regulations policies bylaws and procedures governingtheoperation of the Authority N Invest anymoney in the treasurypursuant to California Government Code Section 65055 that isnot required for theimmediate necessities of the Authority as the Authority determines is advisable in the same manner and upon the same conditions as local agencies pursuant toSection 53601 of the California Government Code as it now exists or may hereafter be amended 9 Item 12.b. - Page 24 O Carry out and enforce all the provisions of this Agreement P Exercise all other powers notspecifically mentioned herein but common to Members and authorized by California Government Code Section 6508 as it now exists or may hereafter be amend Notwithstanding the foregoing theAuthority shall have any additional powers conferred undertheActorunder applicable law insofar as such additional powers may be necessary to accomplish thepurposes set forth in Section 2 hereof SECTION 6 TERMINATION OF POWERS AND AGREEMENT A The Authorityshall continue to exercise the powers hereinconferred upon until the termination of the Agreementor until the Jurisdictionshave mutually rescinded this Agreement B All assets of the Authority shall be divided as may be mutually agreed upon by the parties or according to the basic allocationformula used for budgetingpurposes by theparties to the Agreement who areparties at the time of termination of the Agreement If the partiescannot agree upon a distribution then the distribution formula shall be determined by an outside third party neutral who shall be mutually chosen Ifthe partiescannot agree uponsuch neutral party thenthe State Mediation and Conciliation Services or theirdesignee shall determine the formula for the distribution ofassets SECTION 7 FISCAL YEAR Unless anduntil changed by resolution of the Board the fiscal year of the Authorityshall be the period fromJuly 1 of each year toand including the following June 30 exceptforthe first fiscal year which shall be theperiod from the date of this Agreement to June 30 2011 10 Item 12.b. - Page 25 SECTION 8 OWNERSHIP OF BUILDINGS APPARATUS AND EQUIPMENT A Buildings The Authorityitself is not intended to directly own maintain or insure any existing building structure or facility that is owned at the time of the activation of the Joint Powers Authority maintained orinsured by anyindividual Jurisdiction Such building structuresor facilitiesowned at thetimeofactivationby each individual Jurisdiction shall remainthe full responsibility of each Jurisdiction unless a Jurisdiction offers togive the building structure or facility to the Authority and the Authority agrees to accept own and take responsibility for the maintenance and insurance of such building structure or facility Any building constructed or owned by theAuthority after activation shall become the property of the Authority and in the event of dissolution of theAuthority shall be disposed of in the same manner as equipment owned by the Authority B Major Pieces of Apparatus and Capital Equipment 1 All major pieces of apparatus and capital equipment shall become the property and responsibility of the Authority including butnotlimited to maintenance insurance and replacement 2 Replacement of major apparatus and capital equipment shall generally be accomplished as a part ofthe budget and shall be in keeping with the allocation formula 3 In the event that a Jurisdiction withdraws from the Agreement per Section 17 all major apparatus and capital equipment shall be returned to that withdrawingJurisdiction owned by the Jurisdiction at thetimeofactivationper the listing in Exhibit C However once the major apparatus and capital equipment is replaced such replaced apparatus is the soleand exclusive property ofthe Authority and there is no obligation dutyorrequirement that such replaced apparatus or capital equipment be returned to any withdrawing Jurisdiction The withdrawingJurisdiction shall have the right to negotiate with the remaining Authority members for additional equipment and the remaining Authoritymembers shall take reasonable steps to ensurethe withdrawing 11 Item 12.b. - Page 26 member has sufficient apparatus and capital equipment to establish an independent fire service C Clothing Tools and Equipment All clothing personal protective equipment tools machines parts supplies communication devices computers office equipment supplies and furnishings and each and every item of fire equipment not listed in Exhibit C shall become the sole and exclusive property of the Authority SECTION 9 COSTS AND ADMINISTRATION A Operation and Capital Improvement Costs Operation and capital improvements costs shall be allocated among thejurisdictions in accordance with the cost sharing formula in Exhibit B adopted by the Board and therespective Jurisdictionsgoverning Councils and Board of Directors B Administrative Services Administrative services shall be provided by and allocated between Arroyo Grande Grover Beach and OCSD as shown on Exhibit Atothis Agreement attached and incorporated by reference C Invoicing and Payments Member agencieswill be billed quarterly by the City of Arroyo Grande in accordance with the provisions of Exhibit Aand B Member agencies willbe expected to pay the invoices also on quarterly basis SECTION 10 AGREEMENT NOT EXCLUSIVE This Agreement shall not be exclusive and shall not be deemed to amend oralterthe terms ofotheragreements among the Jurisdictions except as the terms of this Agreement shall conflict therewith in which case the terms of this Agreement shall prevail The cooperative agreementexisting between the Jurisdictions prior to the effective date ofthisAgreement shall terminate with the effective date of this Agreement 12 Item 12.b. - Page 27 SECTION 11 ACCOUNTS AND REPORTS The Authorityshallestablish and maintain such funds and accounts as may be required by good accounting practice The books and records of the Authority shall be open to inspection at all reasonable times by the Jurisdictions and their representatives SECTION 12 CONFLICT OF INTEREST CODE The Authority to the extent required by law herebyadopts asits Conflictof Interest Code the Fair Political PracticesCommissionModel Conflict of Interest Code with appropriate substitution regarding references to thegoverning body and the officers SECTION 13 BREACH If default shall be made by a Jurisdiction or Authority in anycovenant contained in this Agreement such default shall not excuse either of theothertheJurisdictions from fulfilling their respective obligationsunder this Agreement and each Jurisdiction shall continue tobe liable for the payment of contributions and performance of all conditions herein contained Each Jurisdiction hereby declares that this Agreement is entered into for thebenefit of the Authority created hereby and each Jurisdiction hereby grants to the Authority the right to enforce bywhatever lawful meansthe Authority deems appropriate all of the obligations of each of the parties hereunder Each and all of theremedies given to the Authority hereunder or by any law now or hereafter enacted are cumulative and the exercise of one right or remedy shall not impair the right of the Authority to anyor all other remedies SECTION 14 SEVERABILITY Shouldany part term or provision of this Agreement be decided by thecourts to be illegal or in conflict with any law ofthe State of California or otherwise be rendered unenforceable or ineffectual thevalidity of theremaining part terms or provisions hereof shall not be affected thereby 13 Item 12.b. - Page 28 SECTION 15 SUCCESSORS ASSIGNMENT This Agreement shall be binding upon and shall insure to thebenefit of the successors of the parties Except to theextentexpressly provided herein no Jurisdiction may assign any rightor obligationhereunder withoutthe consent of the other Jurisdictions TheAuthority may notassign its rights or obligations without the consent of the Jurisdictions SECTION 16 AMENDMENT OF AGREEMENT This Agreement may be amended and theAuthority may be terminated or its powersmay be changed restricted or eliminated by supplemental Agreement executed by the Jurisdictions at any time SECTION 17 WITHDRAWAL FROM AGREEMENT A Any Jurisdictionmay withdraw from the Agreement by giving twelve 12 months notice of intent to do so The withdrawing Jurisdiction shall continue to be responsible andaccountable for anyand all obligations per this Agreement incurred prior to the withdrawal date Such withdrawing Jurisdiction shall no longer be a party to the Agreement as of withdrawal date and haveno future obligations or liabilities nor any future or further rightsunder the Agreement The withdrawal date shall be defined as that day which is twelve 12 months to the day from the date of thenotice to withdraw or laterdate designated by the withdrawingJurisdiction B Any apparatus listed in Exhibit C previouslybelonging to the withdrawingJurisdiction will be returned on the withdrawal date ifand only if such apparatus has not been replaced per Section 8B The Authority hasno obligation duty or requirement to return any apparatus in any pre determined condition of operation All returned apparatus to any withdrawing Jurisdiction will be in as is condition C Except as set forth in Section 8B123 and17B above thewithdrawing Jurisdiction forfeits and waives any and all rights and claims to any share of anyand all assets 14 Item 12.b. - Page 29 regardless of the ultimatedisposition or status or existence of the Authority at any given time or place SECTION 18 FORM OF APPROVALS Whenever an approval bytheJurisdictions is required in this Agreement unless the context specifies otherwise it shall be given in the case of Arroyo Grande by resolution duly adopted by theCity Council ofArroyo Grande in the case of Grover Beach by resolution dulyadopted by the CityCouncil of Grover Beach and in thecase of OCSD by resolution duly adopted by theBoard of Directorsof OCSD Whenever such approval is required in the caseofthe Authority it shall be given by resolution duly adopted by the Board SECTION 19 NOTICES Notices to Arroyo Grande and Grover Beach shall be sufficient if delivered tothe City Clerk of each City and Notices to OCSD shall be sufficient if delivered to the Board Secretaryof the District SECTION 20 INDEMNIFICATION The Authority shall acquire such insuranceprotection as is necessary to protect the interest of theAuthority and its member Jurisdictions The Authority shall assume thedefenseof and indemnify andhold harmlessthe Jurisdictions and their governing bodiesofficers agents and employees from all claims losses damages costs injury and liability of every kind nature and description directlyor indirectlyarising from the performance of any ofthe activities of the Authority or the activitiesundertakenpursuant tothis Agreement SECTION 21 SECTION HEADINGS All sectionheadings contained herein are for convenience of reference onlyand are not intended to define or limit thescope ofany provision of this Agreement 15 Item 12.b. - Page 31 EXHIBIT A ADMINISTRATIVE SERVICES Administrative services shall be provided to the Authority by the Jurisdictions as follows 1 Personnel All personnel working forthe Authority will be employed by the City of Arroyo Grande Personnel benefits payroll and workers compensation matters shall be administered by Arroyo Grandesubject to a written agreement between the Authority and the City of Arroyo Grande The City of ArroyoGrande shall assign all fire service employees on a full time basis to carry outthefunctions of this Agreement Furthermore under such written agreement the City ofArroyo Grande will assign all of its responsibilities oftheappointment promotionmanagement training supervisionevaluation discipline and termination of employees as well as labornegotiations with representedemployees to theAuthorityunderthe Authoritys chain of command and decision making process 2 Legal Services a For purposes of attorney client privilege the Authority shall have an attorney client relationship with the City Attorneys office of both Arroyo Grande and Grover Beach andwith theDistrict Legal Counsels office of OCSD butthe Grover Beach City Attorneys office shall be designated as the General Counsel for theAuthority and handle legal issues for the Authority including those related to personnel matters including the decision to hireoutside counsel b For purposes of work distribution the Arroyo GrandeCity Attorneys office shall handle legal issuesrelated to Arroyo Grande ordinances the Grover Beach City Attorneysoffice shall handle legal issuesrelated to Grover Beach ordinances and theOCSD Legal Counsel shall handle legal issuesrelated to OCSD ordinances 17 Item 12.b. - Page 32 3 Finance TheCity of Arroyo Grande shall provide financial services Financial services shall include the provision of payroll and accounts payable and accounts receivable services as wellany financial reportingand auditingservices that may be required 4 Indirect Contribution Payment forthe services asdescribed in Exhibit A shall be the responsibilityofthe Jurisdiction providing theservicesas referenced in Exhibit A The paymentfor such services by said agencies shall be recognized as an indirect contribution made by the respective agency Allindirectcontributions shall be recognized in the Authoritys budgetas a contribution from therespectiveagency and shall be deducted from the contributing agencys proportionalallocation of costs for the operation of the Authority 18 Item 12.b. -
