Recommended Action:
1) Adopt a Resolution approving changes to the land use
designation for the purposes of annexation for City owned property in the vicinity of
Pearwood Avenue adjoining the City (GPA 09-001B); and 2) Introduce an Ordinance to
prezone a 7.2 acre property adjoining the City in the vicinity of Pearwood Avenue for
the purposes of annexation (DCA 09-001B).
Consideration of a Resolution Amending Conditions of Approval for Vesting
9.b.
Tentative Tract Map No. 2653 for Property Located Between East Cherry Avenue
and Myrtle Street, Applied for by Cliff Branch (the “Cherry Creek” Project
(MCCLISH)
Recommended Action (Revised):
1) Adopt a Resolution substantively amending
conditions of approval nos. 3 and 10 (drainage easement); 13 (landscaped parkways);
20 (irrigation well-staff request); 39 (HOA responsibilities); 53 (water and sewer credit
for existing buildings); 54 (City to incur costs for consultants); 55 (fees); 100 (rolled
curbs); 91 (utilities at Vandeveer house); 101 (road width and no parking on E. Cherry
Ave); 113, 114, 117, 118, 121 and 122 (drainage system and design option); and
making a finding for substantial conformance to approved plans regarding the width of
the Agricultural buffer for Vesting Tentative Tract Map No. 2653); and 2) Appropriate
$11,900 from the Drainage Fund for consultant services associated with review and
development of regional drainage concepts, as well as other items associated with the
project.

Consideration of Proposed Police Station Project

Recommended Action:
1) Approve the Police Station Schematic Design; 2) Authorize
the City Manager to execute an Agreement for Architectural Services with BFGC
Architects to prepare final design drawings and bid documents not to exceed $370,000;
3) Direct staff to develop a public education program to solicit feedback regarding the
project and potential June 2010 general obligation bond measure; 4) Authorize the City
Manager to submit final applications for California Investment Bank and USDA Rural
Development Community Facilities low-interest loans; and 5) Authorize the City
Manager to execute an agreement up to $25,000 with A.M. Miller Co. for financial
advisor services.

anylawfulpurposeaspermittedundertheapplicablelawsoftheState.

D.ThePurchaser,ajointexerciseofpowersauthorityorganizedandexisting

AGREEMENT
NOW,THEREFORE,inconsiderationoftheaboveRecitalsandthemutual
covenantshereincontained,thepartiesheretoherebyagreeasfollows:
1.DefinitionsandInterpretation.
(a)ForallpurposesofthisAgreement,exceptasotherwiseexpresslyprovided
hereinorunlessthecontextotherwiserequires,capitalizedtermsnototherwisedefinedherein
shallhavethemeaningsascribedtosuchtermsinExhibitAattachedheretoandwhichis
incorporatedbyreferenceherein.
(b)Thewords“hereof,”“herein,”“hereunder”andwordsofsimilarimportwhen
usedinthisAgreementshallrefertothisAgreementasawholeandnottoanyparticular
provisionofthisAgreement;sectionandexhibitsreferencescontainedinthisAgreementare
referencestosectionsandexhibitsinortothisAgreementunlessotherwisespecified;andthe
term“including”shallmean“includingwithoutlimitation.”
(c)Anyagreement,instrumentorstatutedefinedorreferredtohereinorinany
instrumentorcertificatedeliveredinconnectionherewithmeanssuchagreement,instrumentor
statuteasfromtimetotimemaybeamended,modifiedorsupplementedandincludes(inthe
caseofagreementsorinstruments)referencestoallattachmentsandexhibitstheretoand
instrumentsincorporatedtherein;andanyreferencestoaPersonarealsotoitspermitted
successorsandassigns.
2.AgreementtoSellandPurchase;ConditionsPrecedent.
(a)TheSelleragreestosell,andthePurchaseragreestopurchase,ontheClosing
Date,foranamountequaltothePurchasePrice,allright,titleandinterestoftheSellerinandto
the“Proposition1Areceivable”asdefinedinSection6585(g)oftheCaliforniaGovernment
Code(the“Proposition1AReceivable”),namely,therighttopaymentofmoneysdueorto
becomeduetotheSellerpursuanttoSection25.5(a)(1)(B)(iii)ofArticleXIIIoftheCalifornia
ConstitutionandSection100.06oftheCaliforniaRevenueandTaxationCode.ThePurchase
PriceshallbepaidbythePurchasertotheSellerintwoequalcashinstallmentpayments,without
interest(each,an“InstallmentPayment”and,collectively,the“InstallmentPayments”),on
January15,2010,andMay3,2010(eacha“PaymentDate”and,collectively,the“Payment
Dates”).ThePurchasershallpaythePurchasePricebywiretransferpursuanttowire
instructionsprovidedbytheSellertotheTrusteebye-mailtojohn.deleray@wellsfargo.comor
byfacsimileto213-614-3355,Attention:JohnDeleray.Ifwireinstructionsarenotprovidedto
theTrustee(orifsuchwireinstructionsareinvalid)paymentwillbemadebycheckmailedto
theSeller’sPrincipalPlaceofBusiness.

thisAgreement,thetransactionscontemplatedherebyandthedocuments

substantiallytheformattachedheretoasExhibitE;
(ii)TransactionCounselreceivingonorbeforethePricingDate,(1)a
bringdownopinionofcounseltotheSellerdatedasoftheClosingDatein
substantiallytheformattachedheretoasExhibitB2,and(2)abillofsale
andbringdowncertificateoftheSeller(the“BillofSale”)insubstantially
theformattachedheretoasExhibitC3;providedthatthePurchasermay
waive,initssolediscretion,therequirementsofSection2(b)(ii)(1);
(iii)thePurchaserissuingBondsinanamountwhichwillbesufficienttopay
thePurchasePrice;and
(iv)thereceiptbythePurchaserofacertificationoftheCountyAuditor
confirmingtheInitialAmountoftheProposition1AReceivablepursuant
totheAct.
(c)TheperformancebytheSellerofitsobligationshereundershallbe
conditionedsolelyuponthePurchaser’sissuanceoftheBondsitsexecutionanddeliveryofthis
Agreement,pursuanttowhichitislegallyobligatedtopaytheInstallmentPaymentstotheSeller
onthePaymentDatesassetforthinthisAgreement,andnootheractoromissiononthepartof
thePurchaseroranyotherpartyshallexcusetheSellerfromperformingitsobligations
hereunder.SellerspecificallydisclaimsanyrighttorescindthisAgreement,ortoassertthattitle
totheProposition1AReceivablehasnotpassedtothePurchaser,shouldPurchaserfailtomake
InstallmentPaymentsintherequisiteamountsonthePaymentDates.
3.PurchasePrice,ConveyanceofProposition1AReceivableandPaymentof
PurchasePrice.
(a)UponpricingoftheBondsbythePurchaser,thePurchaserwillinformthe
SellerthatitwillpaythePurchasePriceinInstallmentPaymentsonthePaymentDates.
(b)InconsiderationofthePurchaser’sagreementtopayanddelivertotheSeller
theInstallmentPaymentsonthePaymentDates,theSelleragreesto(i)transfer,grant,bargain,
sell,assign,convey,setoveranddelivertothePurchaser,absolutelyandnotascollateral
security,withoutrecourseexceptasexpresslyprovidedherein,andthePurchaseragreesto
purchase,acceptandreceive,theProposition1AReceivable,and(ii)assigntothePurchaser,to
theextentpermittedbylaw,allpresentorfuturerights,ifany,oftheSellertoenforceorcause
theenforcementofpaymentoftheProposition1AReceivablepursuanttotheActandother

applicablelaw.Suchtransfer,grant,bargain,sale,assignment,conveyance,setoverand

1AReceivable,andnotasagrantofasecurityinterestbytheSellertosecureaborrowing.This
isthestatementreferredtoinSections6588.6(b)and(c)oftheCaliforniaGovernmentCode.
4.RepresentationsandWarrantiesofthePurchaser.ThePurchaserrepresents
andwarrantstotheSeller,asofthedatehereof,asfollows:
(a)ThePurchaserisdulyorganized,validlyexistingandingoodstandingunder
thelawsoftheStateofCalifornia.
(b)ThePurchaserhasfullpowerandauthoritytoenterintothisAgreementandto
performitsobligationshereunderandhasdulyauthorizedsuchpurchaseandassignmentofthe
Proposition1AReceivablebythePurchaserbyallnecessaryaction.
(c)NeithertheexecutionanddeliverybythePurchaserofthisAgreement,nor
theperformancebythePurchaserofitsobligationshereunder,shallconflictwithorresultina
breachordefaultunderanyofitsorganizationaldocuments,anylaw,rule,regulation,judgment,
orderordecreetowhichitissubjectoranyagreementorinstrumenttowhichitisaparty.
(d)TothebestoftheknowledgeofthePurchaser,noaction,suit,proceeding,
inquiryorinvestigation,atlaworinequity,beforeorbyanycourt,publicboardorbody,is
pendingorthreatenedinanywayagainstthePurchaseraffectingtheexistenceofthePurchaser
orthetitlesofitscommissionersorofficers,orseekingtorestrainortoenjointhepurchaseof
theProposition1AReceivableortodirecttheapplicationoftheproceedsofthepurchase
thereof,orinanywaycontestingoraffectingthevalidityorenforceabilityofanyofthe
TransactionDocumentsoranyotherapplicableagreementsoranyactionofthePurchaser
contemplatedbyanyofsaiddocuments,orinanywaycontestingthepowersofthePurchaseror
itsauthoritywithrespecttotheTransactionDocumentstowhichitisapartyoranyother
applicableagreement,oranyactiononthepartofthePurchasercontemplatedbytheTransaction
Documents,orinanywayseekingtoenjoinorrestrainthePurchaserfrompurchasingthe
Proposition1AReceivableorwhichifdeterminedadverselytothePurchaserwouldhavean
adverseeffectuponthePurchaser’sabilitytopurchasetheProposition1AReceivable,nortothe
knowledgeofthePurchaseristhereanybasistherefor.
(e)ThisAgreement,anditsexecution,deliveryandperformancehereofhave
beendulyauthorizedbyit,andthisAgreementhasbeendulyexecutedanddeliveredbyitand
constitutesitsvalidandbindingobligationenforceableagainstitinaccordancewiththeterms
hereof,subjecttotheeffectofbankruptcy,insolvency,reorganization,moratorium,fraudulent
conveyanceandothersimilarlawsrelatingtooraffectingcreditors’rightsgenerallyorthe
applicationofequitableprinciplesinanyproceeding,whetheratlaworinequity.
(f)ThePurchaserisaseparatelegalentity,actingsolelythroughitsauthorized
representatives,fromtheSeller,maintainingseparaterecords,booksofaccount,assets,bank
accountsandfunds,whicharenotandhavenotbeencommingledwiththoseoftheSeller.

(g)Allapprovals,consents,authorizations,electionsandordersoforfilingsor
registrationswithanygovernmentalauthority,board,agencyorcommissionhavingjurisdiction
whichwouldconstituteaconditionprecedentto,ortheabsenceofwhichwouldadverselyaffect,
thepurchasebythePurchaseroftheProposition1AReceivableortheperformancebythe
PurchaserofitsobligationsundertheTransactionDocumentstowhichitisapartyandanyother
applicableagreements,havebeenobtainedandareinfullforceandeffect.
(h)InsofarasitwouldmateriallyadverselyaffectthePurchaser’sabilitytoenter
into,carryoutandperformitsobligationsunderanyoralloftheTransactionDocumentsto
whichitisaparty,orconsummatethetransactionscontemplatedbythesame,thePurchaseris
notinbreachofordefaultunderanyapplicableconstitutionalprovision,laworadministrative
regulationoftheStateofCaliforniaortheUnitedStatesoranyapplicablejudgmentordecreeor
anyloanagreement,indenture,bond,note,resolution,agreementorotherinstrumenttowhichit
isapartyortowhichitoranyofitspropertyorassetsisotherwisesubject,and,tothebestofthe
knowledgeofthePurchaser,noeventhasoccurredandiscontinuingwhichwiththepassageof
timeorthegivingofnotice,orboth,wouldconstituteadefaultoraneventofdefaultunderany
suchinstrument,andtheexecutionanddeliverybythePurchaseroftheTransactionDocuments
towhichitisaparty,andcompliancebythePurchaserwiththeprovisionsthereof,underthe
circumstancescontemplatedthereby,donotandwillnotconflictwithorconstituteonthepartof
thePurchaserabreachofordefaultunderanyagreementorotherinstrumenttowhichthe
Purchaserisapartyorbywhichitisboundoranyexistinglaw,regulation,courtorderor
consentdecreetowhichthePurchaserissubject.
5.RepresentationsandWarrantiesoftheSeller.TheSellerherebyrepresents
andwarrantstothePurchaser,asofthedatehereof,asfollows:
(a)TheSellerisalocalagencywithinthemeaningofSection6585(f)ofthe
CaliforniaGovernmentCode,withfullpowerandauthoritytoexecuteanddeliverthis
Agreementandtocarryoutitsterms.
(b)TheSellerhasfullpower,authorityandlegalrighttosellandassignthe
Proposition1AReceivabletothePurchaserandhasdulyauthorizedsuchsaleandassignmentto
thePurchaserbyallnecessaryaction;andtheexecution,deliveryandperformancebytheSeller
ofthisAgreementhasbeendulyauthorizedbytheSellerbyallnecessaryaction.
(c)ThisAgreementhasbeen,andasoftheClosingDatetheBillofSalewillhave
been,dulyexecutedanddeliveredbytheSellerand,assumingthedueauthorization,execution
anddeliveryofthisAgreementbythePurchaser,eachofthisAgreementandtheBillofSale
constitutesalegal,validandbindingobligationoftheSellerenforceableinaccordancewithits
terms,subjecttotheeffectofbankruptcy,insolvency,reorganization,moratorium,fraudulent
conveyanceandothersimilarlawsrelatingtooraffectingcreditors’rightsgenerallyorthe
applicationofequitableprinciplesinanyproceeding,whetheratlaworinequity.
(d)Allapprovals,consents,authorizations,electionsandordersoforfilingsor

carryoutandperformitsobligationsunderanyoralloftheTransactionDocumentstowhichitis
aparty,orconsummatethetransactionscontemplatedbythesame,theSellerisnotinbreachof
ordefaultunderanyapplicableconstitutionalprovision,laworadministrativeregulationofthe
StateofCaliforniaortheUnitedStatesoranyapplicablejudgmentordecreeoranyloan
agreement,indenture,bond,note,resolution,agreementorotherinstrumenttowhichitisaparty
ortowhichitoranyofitspropertyorassetsisotherwisesubject,and,tothebestofthe
knowledgeoftheSeller,noeventhasoccurredandiscontinuingwhichwiththepassageoftime
orthegivingofnotice,orboth,wouldconstituteadefaultoraneventofdefaultunderanysuch
instrument,andtheadoptionoftheResolutionandtheexecutionanddeliverybytheSellerofthe
TransactionDocumentstowhichitisaparty,andcompliancebytheSellerwiththeprovisions
thereof,underthecircumstancescontemplatedthereby,donotandwillnotconflictwithor
constituteonthepartoftheSellerabreachofordefaultunderanyagreementorotherinstrument
towhichtheSellerisapartyorbywhichitisboundoranyexistinglaw,regulation,courtorder
orconsentdecreetowhichtheSellerissubject.
(f)TothebestoftheknowledgeoftheSeller,noaction,suit,proceeding,inquiry
orinvestigation,atlaworinequity,beforeorbyanycourt,publicboardorbody,ispendingor
threatenedinanywayagainsttheSelleraffectingtheexistenceoftheSellerorthetitlesofits
CityCouncilmembersorofficerstotheirrespectiveoffices,orseekingtorestrainortoenjoin
thesaleoftheProposition1AReceivableortodirecttheapplicationoftheproceedsofthesale
thereof,orinanywaycontestingoraffectingthevalidityorenforceabilityofanyofthe
TransactionDocumentsoranyotherapplicableagreementsoranyactionoftheSeller
contemplatedbyanyofsaiddocuments,orinanywaycontestingthepowersoftheSellerorits
authoritywithrespecttotheResolutionortheTransactionDocumentstowhichitisapartyor
anyotherapplicableagreement,oranyactiononthepartoftheSellercontemplatedbythe
TransactionDocuments,orinanywayseekingtoenjoinorrestraintheSellerfromsellingthe
Proposition1AReceivableorwhichifdeterminedadverselytotheSellerwouldhaveanadverse
effectupontheSeller’sabilitytoselltheProposition1AReceivable,nortotheknowledgeofthe
Selleristhereanybasistherefor.
(g)PriortothesaleoftheProposition1AReceivabletothePurchaser,theSeller
wasthesoleowneroftheProposition1AReceivable,andhassuchright,titleandinteresttothe
Proposition1AReceivableasprovidedintheAct.Fromandaftertheconveyanceofthe
Proposition1AReceivablebytheSellertoPurchaserontheClosingDate,theSellershallhave
noright,titleorinterestinortotheProposition1AReceivable.Exceptasprovidedinthis
Agreement,theSellerhasnotsold,transferred,assigned,setoverorotherwiseconveyedany
right,titleorinterestofanykindwhatsoeverinalloranyportionoftheProposition1A
Receivable,norhastheSellercreated,ortothebestknowledgeoftheSellerpermittedthe
creationof,anylien,pledge,securityinterestoranyotherencumbrance(a“Lien”)thereon.
PriortothesaleoftheProposition1AReceivabletothePurchaser,theSellerheldtitletothe
Proposition1AReceivablefreeandclearofanyLiens.AsoftheClosingDate,thisAgreement,
togetherwiththeBillofSale,constitutesavalidandabsolutesaletotheBuyerofallofthe
Seller’sright,titleandinterestinandtotheProposition1AReceivable.

(h)TheSelleractssolelythroughitsauthorizedofficersoragents.
(i)TheSellermaintainsrecordsandbooksofaccountseparatefromthoseofthe
Purchaser.
(j)TheSellermaintainsitsrespectiveassetsseparatelyfromtheassetsofthe
Purchaser(includingthroughthemaintenanceofseparatebankaccounts);theSeller’sfundsand
assets,andrecordsrelatingthereto,havenotbeenandarenotcommingledwiththoseofthe
Purchaser.
(k)TheSeller’sprincipalplaceofbusinessandchiefexecutiveofficeislocatedat

(l)TheaggregateamountoftheInstallmentPaymentsisreasonablyequivalent
valuefortheProposition1AReceivable.TheSelleracknowledgesthattheamountpayabletoor
onbehalfofthePurchaserbytheStatewithrespecttotheProposition1AReceivablewillbein
excessofthePurchasePriceandtheInitialAmountoftheProposition1AReceivableand
confirmsthatithasnoclaimtoanysuchexcessamountwhatsoever.
(m)TheSellerdoesnotactasanagentofthePurchaserinanycapacity,but
insteadpresentsitselftothepublicasanentityseparatefromthePurchaser.
(n)TheSellerhasnotguaranteedandshallnotguaranteetheobligationsofthe
Purchaser,norshallitholditselfoutorpermititselftobeheldoutashavingagreedtopayoras
beingliableforthedebtsofthePurchaser;andtheSellerhasnotreceivednorshalltheSeller
acceptanycreditorfinancingfromanyPersonwhoisrelyingupontheavailabilityoftheassets
ofthePurchaserinextendingsuchcreditorfinancing.TheSellerhasnotpurchasedandshall
notpurchaseanyoftheBondsoranyinteresttherein.
(o)AlltransactionsbetweenoramongtheSeller,ontheonehand,andthe
Purchaserontheotherhand(including,withoutlimitation,transactionsgovernedbycontractsfor
servicesandfacilities,suchaspayroll,purchasing,accounting,legalandpersonnelservicesand
officespace),whetherexistingonthedatehereoforenteredintoafterthedatehereof,shallbeon
termsandconditions(including,withoutlimitation,termsrelatingtoamountstobepaid
thereunder)whicharebelievedbyeachsuchpartytheretotobebothfairandreasonableand
comparabletothoseavailableonanarms-lengthbasisfromPersonswhoarenotaffiliates.
(p)TheSellerhasnot,undertheprovisionsofSection100.06(b)oftheCalifornia
RevenueandTaxationCode,receivedareductionforhardshiporotherwise,norhasitrequested,
madearrangementsfor,orcompletedareallocationorexchangewithanyotherlocalagency,of
thetotalamountoftheadvalorempropertytaxrevenuereductionallocatedtotheSellerpursuant
toSection100.06(a)oftheCaliforniaRevenueandTaxationCode.
6.CovenantsoftheSeller.
(a)TheSellershallnottakeanyactionoromittotakeanyactionwhichadversely
affectstheinterestsofthePurchaserintheProposition1AReceivableandintheproceeds
thereof.TheSellershallnottakeanyactionoromittotakeanyactionthatshalladverselyaffect

theabilityofthePurchaser,andanyassigneeofthePurchaser,toreceivepaymentsofthe
Proposition1AReceivable.
(b)TheSellershallnottakeanyactionoromittotakeanyactionthatwould
impairthevalidityoreffectivenessoftheAct,nor,withoutthepriorwrittenconsentofthe
Purchaseroritsassignees,agreetoanyamendment,modification,termination,waiveror
surrenderof,thetermsoftheAct,orwaivetimelyperformanceorobservanceundertheAct.
NothinginthisagreementshallimposeadutyontheSellertoseektoenforcetheActortoseek
enforcementthereofbyothers,ortopreventothersfrommodifying,terminating,dischargingor
impairingthevalidityoreffectivenessoftheAct.
(c)UponrequestofthePurchaseroritsassignee,(i)theSellershallexecuteand
deliversuchfurtherinstrumentsanddosuchfurtheracts(includingbeingnamedasaplaintiffin
anappropriateproceeding)asmaybereasonablynecessaryorpropertocarryoutmore
effectivelythepurposesandintentofthisAgreementandtheAct,and(ii)theSellershalltakeall
actionsnecessarytopreserve,maintainandprotectthetitleofthePurchasertotheProposition
1AReceivable.
(d)OnorbeforetheClosingDate,theSellershallsend(orcausetobesent)an
irrevocableinstructiontotheControllerpursuanttoSection6588.6(c)ofCaliforniaGovernment
CodetocausetheControllertodisburseallpaymentsoftheProposition1AReceivabletothe
Trustee,togetherwithnoticeofthesaleoftheProposition1AReceivabletothePurchaserand
theassignmentofalloraportionofsuchassetsbythePurchasertotheTrustee.Suchnoticeand
instructionsshallbeintheformofExhibitDhereto.TheSellershallnottakeanyactionto
revokeorwhichwouldhavetheeffectofrevoking,inwholeorinpart,suchinstructionstothe
Controller.Uponsendingsuchirrevocableinstruction,theSellershallhaverelinquishedand
waivedanycontrolovertheProposition1AReceivable,anyauthoritytocollecttheProposition

shallnotrescind,amendormodifytheinstructiondescribedinthefirstsentenceofthis
paragraph.TheSellershallcooperatewiththePurchaseroritsassigneeingivinginstructionsto
theControllerifthePurchaseroritsassigneetransferstheProposition1AReceivable.Inthe
eventthattheSellerreceivesanyproceedsoftheProposition1AReceivable,theSellershall
holdthesameintrustforthebenefitofthePurchaserandtheTrusteeandeachCreditEnhancer,
asassigneesofthePurchaser,andshallpromptlyremitthesametotheTrustee.
(e)TheSellerherebycovenantsandagreesthatitwillnotatanytimeinstitute
againstthePurchaser,orjoinininstitutingagainstthePurchaser,anybankruptcy,reorganization,
arrangement,insolvency,liquidation,orsimilarproceedingunderanyUnitedStatesorstate
bankruptcyorsimilarlaw.

theSellerpermitthecreationof,anyLienthereon.
7.ThePurchaser’sAcknowledgment.ThePurchaseracknowledgesthatthe
Proposition1AReceivableisnotadebtorliabilityoftheSeller,andthattheProposition1A
ReceivableispayablesolelybytheStatefromthefundsoftheStateprovidedtherefor.
Consequently,neitherthetaxingpoweroftheSeller,northefullfaithandcreditthereofis

SellerconcerningtheobligationorabilityoftheStatetomakeanypaymentoftheProposition

ofArticleXIIIoftheCaliforniaConstitution,norisanyrepresentationmadewithrespecttothe
abilityoftheStatetoenactanychangeinthelawapplicabletotheTransactionDocuments
(includingwithoutlimitationSection100.06oftheRevenueandTaxationCodeorSection
6588.6oftheGovernmentCode).ThePurchaseracknowledgesthattheSellerhasnoobligation
withrespecttoanyofferingdocumentordisclosurerelatedtotheBonds.
8.NoticesofBreach.
(a)UpondiscoverybytheSellerorthePurchaserthattheSellerorPurchaserhas
breachedanyofitscovenantsorthatanyoftherepresentationsorwarrantiesoftheSellerorthe
Purchaseraremateriallyfalseormisleading,inamannerthatmateriallyandadverselyaffects
thevalueoftheProposition1AReceivableorthePurchasePricethereof,thediscoveringparty
shallgivepromptwrittennoticethereoftotheotherpartyandtotheTrustee,asassigneeofthe
Purchaser,whoshall,pursuanttotheIndenture,promptlythereafternotifyeachCreditEnhancer
andtheRatingAgencies.
(b)TheSellershallnotbeliabletothePurchaser,theTrustee,theholdersofthe
Bonds,oranyCreditEnhancerforanyloss,costorexpenseresultingfromthefailureofthe
Trustee,anyCreditEnhancerorthePurchasertopromptlynotifytheSelleruponthediscovery
byanauthorizedofficeroftheTrustee,anyCreditEnhancerorthePurchaserofabreachofany
covenantoranymateriallyfalseormisleadingrepresentationorwarrantycontainedherein.
9.LiabilityofSeller;Indemnification.TheSellershallbeliableinaccordance
herewithonlytotheextentoftheobligationsspecificallyundertakenbytheSellerunderthis
Agreement.TheSellershallindemnify,defendandholdharmlessthePurchaser,theTrusteeand
eachCreditEnhancer,asassigneesofthePurchaser,andtheirrespectiveofficers,directors,
employeesandagentsfromandagainstanyandallcosts,expenses,losses,claims,damagesand
liabilitiestotheextentthatsuchcost,expense,loss,claim,damageorliabilityaroseoutof,or
wasimposeduponanysuchPersonbytheSeller’sbreachofanyofitscovenantscontained
hereinoranymateriallyfalseormisleadingrepresentationorwarrantyoftheSellercontained
herein.Notwithstandinganythingtothecontraryherein,theSellershallhavenoliabilityforthe
paymentoftheprincipaloforinterestontheBondsissuedbythePurchaser.

10.LimitationonLiability.
(a)TheSellerandanyofficeroremployeeoragentoftheSellermayrelyingood
faithontheadviceofcounseloronanydocumentofanykind,primafacieproperlyexecutedand
submittedbyanyPersonrespectinganymattersarisinghereunder.TheSellershallnotbeunder
anyobligationtoappearin,prosecuteordefendanylegalactionregardingtheActthatis
unrelatedtoitsspecificobligationsunderthisAgreement.
(b)NoofficeroremployeeoftheSellershallhaveanyliabilityforthe
representations,warranties,covenants,agreementsorotherobligationsoftheSellerhereunderor
inanyofthecertificates,noticesoragreementsdeliveredpursuanthereto,astoallofwhich
recourseshallbehadsolelytotheassetsoftheSeller.
11.TheSeller’sAcknowledgment.TheSellerherebyagreesandacknowledges
thatthePurchaserintendstoassignandgrantasecurityinterestinalloraportionof(a)itsrights
hereunderand(b)theProposition1AReceivable,totheTrusteeandeachCreditEnhancer
pursuanttotheIndenture.TheSellerfurtheragreesandacknowledgesthattheTrustee,the
holdersoftheBonds,andeachCreditEnhancerhavereliedandshallcontinuetorelyuponeach
oftheforegoingrepresentations,warrantiesandcovenants,andfurtheragreesthatsuchPersons
areentitledsotorelythereon.Eachoftheaboverepresentations,warrantiesandcovenantsshall
surviveanyassignmentandgrantofasecurityinterestinalloraportionofthisAgreementorthe
Proposition1AReceivabletotheTrusteeandeachCreditEnhancerandshallcontinueinfull
forceandeffect,notwithstandinganysubsequentterminationofthisAgreementandtheother
TransactionDocuments.Theaboverepresentations,warrantiesandcovenantsshallinuretothe
benefitoftheTrusteeandeachCreditEnhancer.
12.Notices.Alldemandsuponor,noticesandcommunicationsto,theSeller,the
Purchaser,theTrusteeortheRatingAgenciesunderthisAgreementshallbeinwriting,
personallydeliveredormailedbycertifiedmail,returnreceiptrequested,tosuchpartyatthe
appropriatenoticeaddress,andshallbedeemedtohavebeendulygivenuponreceipt.
13.Amendments.ThisAgreementmaybeamendedbytheSellerandthe
Purchaser,with(a)theconsentoftheTrustee,(b)theconsentofeachCreditEnhancer,and(c)a
RatingAgencyConfirmation,butwithouttheconsentofanyoftheholdersoftheBonds,forthe
purposeofaddinganyprovisionstoorchanginginanymanneroreliminatinganyofthe
provisionsofthisAgreement.
Promptlyaftertheexecutionofanysuchamendment,thePurchasershallfurnish
writtennotificationofthesubstanceofsuchamendmenttotheTrusteeandtotheRating
Agencies.
14.SuccessorsandAssigns.ThisAgreementshallbebindinguponandinureto
thebenefitoftheSeller,thePurchaserandtheirrespectivesuccessorsandpermittedassigns.
TheSellermaynotassignortransferanyofitsrightsorobligationsunderthisAgreement
withoutthepriorwrittenconsentofthePurchaser.Exceptasspecifiedherein,thePurchasermay
notassignortransferanyofitsrightsorobligationsunderthisAgreementwithouttheprior
writtenconsentoftheSeller.

15.ThirdPartyRights.TheTrusteeandeachCreditEnhancerareexpressand
intendedthirdpartybeneficiariesunderthisAgreement.Nothingexpressedinortobeimplied
fromthisAgreementisintendedtogive,orshallbeconstruedtogive,anyPerson,otherthanthe
partieshereto,theTrustee,andeachCreditEnhancer,andtheirpermittedsuccessorsandassigns
hereunder,anybenefitorlegalorequitableright,remedyorclaimunderorbyvirtueofthis
Agreementorunderorbyvirtueofanyprovisionherein.
16.PartialInvalidity.IfatanytimeanyprovisionofthisAgreementisor
becomesillegal,invalidorunenforceableinanyrespectunderthelawofanyjurisdiction,neither
thelegality,validityorenforceabilityoftheremainingprovisionsofthisAgreementnorthe
legality,validityorenforceabilityofsuchprovisionunderthelawofanyotherjurisdictionshall
inanywaybeaffectedorimpairedthereby.
17.Counterparts.ThisAgreementmaybeexecutedinanynumberofidentical
counterparts,anysetofwhichsignedbyallthepartiesheretoshallbedeemedtoconstitutea
complete,executedoriginalforallpurposes.
18.EntireAgreement.ThisAgreementsetsforththeentireunderstandingand
agreementofthepartieswithrespecttothesubjectmatterhereofandsupersedesanyandalloral
orwrittenagreementsorunderstandingsbetweenthepartiesastothesubjectmatterhereof.

19.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedin
accordancewiththelawsoftheStateofCalifornia.

1) Accepted the project improvements as constructed by MGE Underground,
Inc. in accordance with the plans and specifications for the Fair Oaks Avenue Sewer
Upgrade Project; 2) Approved a First Amendment to the Agreement for Consultant
Services with AECOM (“First Amendment”) for the not to exceed amount of $10,714 for
support services during construction; 3) Authorized the City Manager to execute the First
Amendment; 4) Directed staff to file a Notice of Completion; and 5) Authorized release of
the retention, thirty-five (35) days after the Notice of Completion has been recorded, if no
liens have been filed.

Other Specified Materials, in the City of Arroyo Grande, State of California.
Mayor Ferrara opened the public hearing, and upon hearing no public comments, he closed the
public hearing.
Council comments and discussion included clarification concerning the location and use of the
active pipeline; the type of material that is transported through the pipeline; and support for

General Plan Amendment (GPA) and Development Code Amendment (DCA) Case
No. 09-001; Tentative Tract Map (TTM) Nos. 3017, 3018, and 3019 and Initial
Studies and Mitigated Negative Declaration (MND) for the City of Arroyo Grande
Initiated Proposals and Related Items.
Community Development Director McClish presented the staff report and responded to
questions from Council on the following proposals:
Subarea 1 – GPA, SOI, Prezone DCA and TTM 3017 for four (4) Residential Hillside lots
and one (1) Public Facility lot northeast of Pearwood Avenue and Huasna Road owned by
the City of Arroyo Grande, involving 7.2 acres proposed for annexation;
Subarea 2 - GPA/DCA, LLA 09-004 and TTM 3015 for properties adjoining Reservoir No. 2
near Hillcrest Drive and Stonecrest to rezone from Public Facility and Industrial Mixed Use
to Multiple Family Residential and TTM 3015 applied for by Hillcrest Land Company to
subdivide approximately 3.5 acres into 14 residential lots accessed from new cul-de-sac
extending southeast from Hillcrest Drive;
Subarea 3 – SOI change for South Halcyon Mobile Home Parks and GPA to exclude from
within Arroyo Grande Urban Reserve Line (and enable water service from and/or annexation
to Oceano Community Services District;
Subarea 4 - GPA/DCA and TTM 3018 for four (4) Single Family Residential lots and one (1)
Public Facility lot at the northeast corner of West Branch Street and Old Ranch Road
involving approximately five (5) acres within the South County Regional Center area;
Subarea 5 – GPA/DCA and TTM 3019 for one (1) 2 acre Multiple Family lot; four (4)

Facility and Village Core Downtown to reflect proposed property exchange. She explained
that the proposal also included Development Code amendments concerning allowed uses in
the Regional Commercial district, which the Planning Commission recommended for
approval and modification of language relating to agricultural conversions, for which the
Planning Commission did not forward a recommendation.
Director McClish concluded by recommending the City Council: 1) Adopt a Resolution adopting
a Mitigated Negative Declaration, Instructing the City Clerk to File a Notice of Determination,
Approving Sphere of Influence Adjustments for One Property and Approving General Plan
Changes to the Land Use Designation for Five Properties Within and Adjoining the City (GPA
Case No. 09-001); 2) Introduce an Ordinance Amending Municipal Code Table 16.36.030(A)
Regarding Uses Permitted in the Regional Commercial (RC) Zoning District and Amending the
Zoning Map to Prezone a 7.2 Acre Property near Pearwood Avenue and Changing the Zoning
for Five Additional Properties (DCA Case No. 09-001), Initiated by the City of Arroyo Grande;

Arroyo Grande; 4) Adopt a Resolution Approving Tentative Tract Map No. 3019 Located
Northeast of West Branch Street and Rodeo Drive, Composed of Eight (8) Lots, Applied for by
the County of San Luis Obispo; and 5) Consider recommendations regarding Subarea 2,
including Tentative Tract Map No. 3015, applied for by Hillcrest Land Company, and take
tentative action to deny or continue this item.
Director McClish also noted that supplemental material had been distributed to the Council
amending conditions of approval 8, 9, 40 and 42 relating to subdivision improvements,
affordable housing and drainage for the proposed Resolution approving Tentative Tract Map
No. 3019; as well as a modified Ordinance for Development Code Amendment 09-001,
removing Section 3 regarding the definition for agricultural conversions.
Council Member Fellows asked for clarification regarding proposed changes in the Regional
Commercial district regarding drive-through uses and expressed his opposition due to negative
air quality impacts.
Mayor Ferrara opened the public hearing.
Subarea 1
The following members of the public spoke in opposition to the project and expressed concerns
about drainage and flooding on Pearwood Avenue; lack of water resources to support new
development; lack of existing street maintenance; potential construction impacts; lack of
maintenance of the existing ponding basin; visible soil erosion on the hillside; potential impacts
to an existing Landmark Tree; opposition to annexation; and prior referendum election results.

Hearing no further public comments, Mayor Ferrara closed the public hearing.
Mayor Ferrara called for a break at 8:57 p.m. The Council reconvened at 9:10 p.m.
Mayor Ferrara commented on the actions being taken by the League of California Cities in the
fight to stop the State from taking the City’s money. He noted that the City’s budget is in peril
and that the City is at risk of losing Redevelopment Agency funds and gas tax funds. He stated
the Council had provided direction to staff to find ways to balance the budget and that one of
those ways is to sell surplus City property. He emphasized that the City is trying to survive and
maintain levels of service and that many other cities in the State are facing bankruptcy.
Subarea 1
Mayor Ferrara noted that a lot of public testimony had been received; stated he had walked the
area in and around Pearwood Avenue, and that issues have been raised that need further
review, particularly with regard to drainage. He suggested continuing consideration of Subarea
1 to the next meeting.

Mayor Ferrara moved to continue consideration of the proposals for Subarea 1 to the
next regular City Council Meeting of October 13, 2009, Council Member Arnold seconded, and

Subarea 2
Council Member Arnold acknowledged the public opposition expressed for the Subarea 2
project; commented that there are an inordinate amount of flag lots which he does not favor; did
not support using Hillcrest solely for access; suggested that this item be referred back to the
Planning Commission to further review alternative access and other proposals; and clarified that
the developer would be responsible for making all the necessary public improvements, not the
City.

Council Member Fellows supported an alternative access to the project other than Hillcrest or
Montego and suggested access via Stonecrest as a more desirable access route; and could
support referring it back to the Planning Commission to review other alternatives.
Council Member Guthrie agreed that this project should be separated out as the plan is not
workable; stated he was not opposed to development in this area; stated that the access issue
needed to be reviewed further; and commented that the City may need to place an additional
water tank in this area in the future.
Mayor Ferrara agreed that Subarea 2 needed to be referred back to the Planning Commission
with specific direction to look at the feasibility of opening up Stonecrest; that there needed to be
further review of site circulation strategies; and that sidewalk improvements were needed on
one side of Hillcrest.
Action:
Council Member Guthrie moved to send the Subarea 2 General Plan Amendment back
to the Planning Commission with direction to review establishment of primary access to El
Camino and/or Stonecrest and review access to Hillcrest as an emergency or secondary
access, and to further look at improvements to Hillcrest (sidewalk) and resulting impacts to the
project. Council Member Arnold seconded. Discussion ensued regarding ingress and egress
via Hillcrest Drive and Council Member Fellows stated he did not support any access to a future
project through Hillcrest. The motion passed on the following roll call vote:

Council comments included support for Subarea 3.
Subareas 4 and 5
Council Member Arnold spoke in support and noted that this proposal is a win-win for the
County and the City; that the City will obtain a parcel for the Police Station project for minimal
cost and it will provide for workforce housing; and commented that the rezoning will allow
additional homes to provide a buffer between the public facility and residential uses.
Council Member Fellows commended staff for its creative planning and supported the proposals
for Subareas 4 and 5.
Council Member Guthrie supported the proposals and agreed that this was a creative use of
existing land in this area to fund projects and make good use of the property.
Mayor Ferrara supported the proposals and acknowledged that this strategy had been in play
for many years; echoed Council Member Fellows comments regarding staff’s effort on these
proposals; noted that the areas will complement each other; and that the City is accomplishing
many goals while providing additional housing.

Council comments included support for the proposal. Council Member Guthrie noted that while
he does not support the City Hall project, he would not hold up the General Plan Amendment.
Development Code “Clean-Up Amendments”
Council comments included support for the proposed amendments to the General Plan and
Development Code concerning conditional uses permitted in the Regional Commercial district.
Council Member Fellows, however, expressed opposition to allowing drive-through facilities due
to the resulting vehicle and air pollution.
City Attorney Carmel briefly reviewed for the Council the proposed amendments to the
Resolution, including to the title and to remove all references to Subareas 1 and 2 based on
discussion and direction provided to staff.

Staff requested the Council provide direction concerning potential revision of the definition of
conversion of agricultural land as provided in the Development Code for consistency with policy
regarding mitigation. Council discussion ensued regarding the current language which can be
confusing, and the various alternatives for clarifying when mitigation for loss of prime soils is
triggered. Following discussion, the Council directed staff to present the following alternatives
to the Planning Commission for recommendation:
- Identify conversion of agricultural land as when it is rezoned. Therefore, mitigation of
loss of prime soils would be required only for rezoning of land previously zoned
agriculture;
- Require mitigation for loss of prime soils for parcels of a specified size when either
rezoned from an agricultural zone or when developed and previously farmed within the
past 10-years (or other specific term) period. This would address loss of prime soils
consistent with the current General Plan language and would prevent the incentive of
ceasing active farming to avoid mitigation.
With regard to Subarea 1, Council directed staff to schedule a site visit to the Pearwood area
with the engineer in order to review the site and associated drainage issues.

a. MAYOR TONY FERRARA:
(1) San Luis Obispo Council of Governments/San Luis Obispo Regional
Transit Authority (SLOCOG/SLORTA).
SLOCOG has not met since last report;
SLORTA met to discuss some route changes that will affect South County;
the Board is looking at ways to economize and will be looking at better ways to
coordinate SCAT routes and RTA routes; will be meeting with the Executive
Director to express concerns about route changes in South County and to
receive more clarification.
(2) South San Luis Obispo County Sanitation District (SSLOCSD).
Next

meeting is Thursday, September 24.
(3) Brisco/Halcyon/Hwy 101 Interchange Project Subcommittee.
Projectis
moving along; new consultants have been brought in and they are cautiously

REGARDING USES PERMITTED IN THE REGIONAL COMMERCIAL
ZONING DISTRICT AND CHANGING THE ZONING FOR FOUR
ADDITIONAL PROPERTIES (DEVELOPMENT CODE AMENDMENT 09-
001), INITIATED BY THE CITY OF ARROYO GRANDE
WHEREAS
, the City Council of Arroyo Grande adopted the updated General Plan, which
became effective on October 9, 2001, and which includes the Housing Element adopted in
2003 and updated on March 8, 2005; and
WHEREAS,
the City has a responsibility to assure adherence to the General Plan in
meeting the needs and desires of the residents and the community and there are
underutilized lands under City, County and private ownership that if re-designated and
rezoned could result in infill, affordable and other housing opportunities and still
maintain adequate land for Public Facilities; and
WHEREAS,
on March 3, 2009, the City Planning Commission initiated Pre-zone,
Annexation, Sphere of Influence Amendment, General Plan Amendment and
Development Code Amendment 09-001; and
WHEREAS,
the Planning Commission conducted public hearings on GPA/DCA Case
No. 09-001, including revisions on April 7 and continued to May 5, July 7, July 21,
August 18 and September 1, 2009; and
WHEREAS
, on May 26, 2009 the City Council approved a Memorandum of
Understanding with the County of San Luis Obispo to acquire property for a new Police
Station and to sell property to generate funding for the Recreation Center project,
contingent upon consideration of the subject General Plan and Development Code
amendments and associated tentative maps; and
WHEREAS,
on July 7, 2009 the Planning Commission determined that there are
additional clean up amendments necessary for enhanced flexibility to allow retail and
recreation uses in the Regional Commercial District, including drive through restaurants;
and
WHEREAS,
the Community Development Department has conducted CEQA initial
studies and concluded that environmental impacts associated with the project will be
mitigated to a less than significant level, as outlined in the Mitigated Negative
Declaration dated and recirculated July 1, 2009 adopted current to this ordinance by
Resolution No. 4128 (General Plan Amendment Case No. 09-001); and
WHEREAS,
the Planning Commission, after public hearing, consideration of the draft
Mitigated Negative Declaration, all testimony and evidence presented, finds the

Mitigated Negative Declaration appropriate and adequate pursuant to State and local
CEQA laws and guidelines; and
WHEREAS,
on September 15, 2009,the Planning Commission, after public hearings on
April 7, July 7, July 21, August 18, and September 1, 2009, consideration of the staff
report, all testimony and evidence presented finds the proposed zoning map changes
as shown in Exhibit A to be appropriate and consistent with the intent of 2001 General
Plan Update adopted policies, specifically those policies in the Housing Element and
Land Use Element; and excepting therefrom changes proposed for Subarea 2, Hillcrest
Reservoir # 2 vicinity and recommended that the City Council approve DCA 09-001; and
WHEREAS,
the City Councilon September 22, 2009 conducted public hearings on the
GPA/DCA recommendations of the Planning Commission and after consideration of the
staff reports, draft Initial Study and Mitigation Negative Declaration and finds after due
study, deliberation and hearing the following circumstances exist and that the following
Development Code Amendment findings can be made in an affirmative manner:
A. The proposed zoning changes and revisions to Title 16 will satisfy Objective LU3
of the Land Use Element of the General Plan, which requires the City to
“Accommodate a broad range of Multiple Family Residential and special needs
housing types and densities within the City”; and including LU11-1.4 to “restrict
new urban single family, multiple family and mobile home uses to infill areas
adjacent to existing developments of similar density”; and other policies under
objectives LU3; LU9 to “Provide for appropriate maintenance, development and
placement of Community Facilities relative to existing and planned land uses”,
Utilization of Conservation/Open Space designations consistent with LU10, to
“Promote a pattern of land use that protects the integrity of existing land uses,
area resources and infrastructure and involves logical jurisdictional boundaries
with adjacent communities and the County” consistent with LU11; and
consistency with economic development goals as specified in the Economic
Development Element as related to allowed uses in the Regional Commercial
District, specifically ED4 and ED5, and are therefore desirable to implement the
provisions of the General Plan.
B. The proposed zoning changes and revisions to Title 16 provide adequate
opportunities for needed Public Facilities and more opportunities for residential
use, and will not adversely affect the public health, safety, and welfare or result in
an illogical land use pattern and the proposed revisions to Title 16 will increase
both Multiple Family Residential and Single Family Residential opportunities for a
broad range of housing types and densities consistent with Land Use Element
and Housing Element policies, including LU3, LU4, LU11-14.
C. The proposed zoning changes and revisions to Title 16 satisfy Section 16.36.010
of the Development Code, which states “It is the purpose of this chapter to
provide regulations that implement those goals, objectives and policies, and that

are aimed toward the provision of adequate and appropriate commercial areas
within the City” and the proposed changes, although reducing land use designated
for Public Facilities provides adequate area to provide for appropriate maintenance,
development, and placement of Community Facilities relative to existing and
planned land uses consistent with Land Use Element policy LU9, and will not
adversely affect the public health safety and welfare or result in an illogical land use
pattern.
D. The proposed changes of zones and revisions to Title 16 are within the scope of the
Program EIR prepared for the 2001 General Plan Update and a draft Initial Study
and Mitigated Negative Declaration has been prepared in accordance with CEQA.
E. The proposed changes of zones and revisions to Title 16 are necessary to maintain
consistency with the General Plan as amended by proposals of GPA/DCA Case No.
09-001.
NOW, THEREFORE, BE IT ORDAINED
by the City Council of the City of Arroyo
Grande as follows:
Section 1: The above recitals and findings are true and correct.
Section 2: Arroyo Grande Municipal Code Table 16.36.030(A) uses. Uses permitted
within Mixed Use and Commercial Districts are hereby revised for the Regional
Commercial (RC) district only, as specifically set forth in “Exhibit A” attached hereto and
made a part thereof.
Section 3: The boundaries of the zoning districts established pursuant to Section
16.24.010 are hereby revised as outlined below (for five (5) of the seven (7) Subareas
considered by GPA/DCA 09-001); and as more specifically set forth below and
illustrated on the map labeled “Exhibit B”, attached hereto and made a part hereof.
1) Subarea 3, South Halcyon Mobile Home Parks near The Pike: Remove
from City’s Urban Reserve and Sphere of Influence boundaries.
2) Subarea 4, City’s Recreation Center site east of Old Ranch Road and
West Branch Street area: Rezone northeast 1.0 acre portion from Public
Facility, PF, to Single Family, SF, Residential District as shown on Map
Exhibit ‘B’.
3) Subarea 5, South County Regional Center area near West Branch
Street/Rodeo Drive and Mercedes Drive area: Rezone 1.0 acre portion
from Public Facility, PF, to Residential Suburban, RS, District and Rezone
2.0 acre portion triangular frontage on Rodeo Drive from Public Facility,
PF, to Multiple Family, MF, Residential District as shown on Map Exhibit
‘B’.
4) Subarea 6, South Courtland/Poplar Street Ponding Basin: Rezone from
Gateway Mixed Use, GMU to Public Facility, PF, as shown on Map
Exhibit ‘B’.

Section 5: If any section, subsection, sentence, clause, or phrase of this Ordinance is
for any reason held to be invalid or unconstitutional by a decision of any court of
competent jurisdiction, such decision shall not affect the validity of the remaining
portions of this Ordinance. The City Council hereby declares that it would have passed
this Ordinance and each and every section, subsection, sentence, clause, or phrase not
declared invalid or unconstitutional without regard to whether any portion of the
ordinance would be subsequently declared invalid or unconstitutional.
Section 6: Upon adoption of the Ordinance, the City Clerk shall file a Notice of
Determination pursuant to CEQA.
Section 7: A summary of this Ordinance shall be published in a newspaper published
and circulated in the City of Arroyo Grande at least five (5) days prior to the City Council
meeting at which the proposed Ordinance is to be adopted. A certified copy of the full
text of the proposed Ordinance shall be posted in the office of the City Clerk. Within
fifteen (15) days after adoption of the Ordinance, the summary with the names of those
City Council members voting for and against the Ordinance shall be published again,
and the City Clerk shall post a certified copy of the full text of such adopted Ordinance.
Section 8: This Ordinance shall take effect and be in full force and effect thirty days
after its passage.

FOR VESTING TENTATIVE TRACT MAP NO. 2653 FOR
PROPERTY LOCATED BETWEEN EAST CHERRY AVENUE
AND MYRTLE STREET, APPLIED FOR BY CLIFF BRANCH
(THE "CHERRY CREEK" PROJECT)

Communications with the applicant and other affected parties subsequent to distribution
of the agenda has required modifications to the proposed Resolution. Below are
modifications to the proposed Conditions of Approval. Additionally, the attached Exhibit
"B" is the revised drainage plan referenced in Condition of Approval No. 117. Also
attached is an email correspondence received today from the representatives of the
Dixson Ranch stating that they will dedicate the easement necessary to connect drainage
infrastructure to the stone culvert to the City for no fee in exchange for City work to
stabilize the bank slope on the south side of the culvert and necessary modifications to
the culvert per the Newsom Springs Regional Drainage Plan.
This modification is per request by representatives of the Dixson Ranch. 32. (Prior
to issuance of Certificate of Occupancy). All fencing shall be installed.
Ezclusionary fencing' that includes wood and wire shall be iristalled'on the south
side of E. Chem/Avenue.

on Dixon Ranch to the existing ditch at the stone culvert located near the corner
of Branch Mill Road and at Huebner Lane and construct other off site regional
drainage infrastructure, including a berm above the 48 -inch drain line consistent
with the conceptual drainage plan in Exhibit "B "A"r
Nowcom Springs Ro The applicant shall enter into a
reimbursement agreement with the City for this offsite drainage work. The City
shall reimburse the applicant $306,000, plus interest, for this work. The
$306,000 reimbursement to the developer is payable with accrued interest from
the amended tentative map approval date, at 3 until paid. Payment shall be
upon completion and City acceptance of the offsite Newsom Springs Drainage
