A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ARROYO
GRANDE ADOPTING A SALARY AND BENEFIT PROGRAM FOR
EMPLOYEES REPRESENTED BY LOCAL 817, SERVICE EMPLOYEES
- . INTERNATIONAL UNION, ARROYO GRANDE CHAPTER, FOR
EMPLOYEES REPRESENTED BY THE ARROYO GRANDE POLICE
I OFFICERS' ASSOCIATION; AND FOR MANAGEMENT AND
U CONFIDENTIAL EMPLOYEES, AND REPEALING RESOLUTION NOS.

2322, 2327, 2328, 2329, 2405 AND 2921 ON JULY 1, 1995.
THE CITY COUNCIL OF THE CITY OF ARROYO GRANDE DOES HEREBY
RESOLVE AS FOLLOWS:
WHEREAS, the City Council deems it to be in the best interest of the City of
Arroyo Grande and its various employees that compensation be fixed for all full-time
City employees as herein provided: and
WHEREAS, the City Council has established compensation and working
conditions through the meet and confer process with the designated employee
representatives as depleted in Exhibit" A", Memorandum of Understanding between
the City of Arroyo Grande and local 817, Service Employees International Union,
Arroyo Grande Chapter; and Exhibit "B" , Memorandum of Understanding between the
City of Arroyo Grande and the Arroyo Grande Police Officers' Association; and
WHEREAS, the City Council has established compensation for management and-
confidential employees as depicted in Exhibit "C";
NOW, THEREFORE, BE IT RESOLVED that the terms of this Resolution as
contained in Exhibits" A", "B", and "c" shall become effective July 1, 1995, and shall
apply as follows:

_ Exhibit" A" - Fiscal Year 1995-96 and 1996-97;
_ Exhibit "B" - Fiscal Year 1995-96, 1996-97, and 1997-98; and
_ Exhibit "C" - Fiscal Year 1995-96.
BE IT FURTHER RESOLVED that this Resolution shall sup!3rsede and repeal
Resolutions Nos. 2322, 2327, 2328, 2329, 2405 and 2921 which established salary
and benefits for full-time employees.
On motion of Council Member Souza , seconded by Council Member
Fuller , and on the following roll call vote, to wit: ·

B. Benefits
The following employee benefits have been established for management and
confidential employees designated under Section A, above.
-- 1. The City will continue to pay the pr'emiums for the designated HMO
Medical Insurance Program and Dental Insurance Program for the
employee and eligible dependents.
2. The City will continue to provide the designated retirement programs
contracted., through the California Public Employee Retirement System
(PERS) and will pay back the employee contribution to _the designated
plans.

appropriate City official as may be designated in writing by either
of them are hereby authorized and directed to execute and deliver
to the Purchaser a Purchase Contract in substantially said form,
with such changes therein as such official may require or approve,
such approval to be conclusively evidenced by the execution and
delivery thereof; provided that the purchase price of the
Certificates, excluding any original issue discount, shall not be
less than 98% of .the aggregate principal component (minus any
original issue discount) of the Installment Payments to be made
under the Installment Purchase Agreement, plus the accrued interest
component of the first Installment Payment, if any, thereon;
provided, further, that the total compensation paid to the
Purchaser, including underwriting discount, shall not exceed an
amount equal to 2.0% of such aggregate principal component (minus
any original issue discount).
6. The proposed form of Limited Offering Memorandum relating
to the installment purchase and sale financing and refinancing,
presented to this meeting, is hereby approved. The Mayor, the City
Manager of the City, or such appropriate City official as may be
designated in writing by either of them are hereby authorized and
directed, for an in the name and on behalf of the City, to execute
and deliver a Limited Offering Memorandum in substantially said
form and with such changes therein as such official may require or
approve, such approval to be conclusively evidenced by the
execution and delivery thereof. The Purchaser is hereby authorized
to distribute copies of said Limited Offering Memorandum to
prospective purchasers of the Certificates described therein and
to distribute copies of said Limited Offering Memorandum as finally
executed to all actual purchasers of the Certificates.
7. Forms of the proposed Installment Purchase Agreement,
Installment Sale Agreement, Trust Agreement, Purchase Contract, and
Limited Offering Memorandum are on file in the office of the City
Clerk.
8. The City Clerk is hereby authorized and directed to attest
the signature of the Mayor, the City Manager of the City, or such
other appropriate City official as may be designated in writing by
either of them who has signed any of the documents mentioned herein
and to affix and attest the seal of the City as may be required in
connection with the execution and delivery of the Installment
Purchase Agreement, Installment ~$ale. Agreement, Trust Agreement,
Purchase Contract, and Limited Offering Memorandum in accordance
with this resolution.
9. The officers of the City are hereby authorized and
directed, jointly and severally, to do any and all things and to
execute and deliver any and all documents that they may deem
necessary or advisable in order to consummate the execution and
delivery of the documents approved in this resolution and otherwise
to carry out, give effect to and comply with the terms and intent

of this resolution and the documents approved hereby, including
without limitation a Letter of Representations of the City, the
Corporation, and the Trustee to the Depository Trust Company
proving for the issuance of beneficial ownership interests in the
Certificates and a Tax Certificate and Agreement among the City,
the Corporation, and the Trustee relating to the exclusion of the
interest component of the Installment Payments from the gross
income of the holders of the Certificates within the meaning of the
Code.
10. It is the purpose and intent of the City Council that
this resolution constitute approval of the issuance of the
Certificates of the City by the applicable elected legislative body
in accordance with Section 147(f) of the Code.
