RECOMMENDATION:
It is recommended that the City Council: 1) award a bid for the purchase of nine
police patrol vehicles to McPeek Dodg~ of Anaheim, CA; 2) award a bid for lease
financing to California First Leasing Corporation of Irvine, CA; 3) award a bid for the
equipment upfitting for the vehicles to Drive Customs of San Luis Obispo, CA; and
4) adopt a resolution declaring the existing police patrol vehicles as surplus and
authorizing their sale as outlined in this report.
IMPACT ON FINANCIAL AND PERSONNEL RESOURCES:
This expenditure is to be funded out of the approved Police Department FY 2012-
13 budget under debt service -leasing. The total amount over four years is
$371,146.67, which includes $271,543.50 for vehicle purchase and lease financing
and $96,995.61 for equipment upfitting. The annual lease payment of $69,892.81
will come from the approved FY2012-13 budget $83,000 currently in the debt
service account.
The upfitting costs will be offset by the sale of existing, and scheduled to be
surplus, vehicles. The value of the surplus vehicles is estimated at $103,500.
Therefore, a net revenue increase of $6,505 is anticipated. The lease is for four
years with a $1.00 purchase option at the end of the lease. The vehicles will be on
warranty and an extended service contract during the term of the new lease.
BACKGROUND:
The Police Department introduced the fleet leasing program in 2008 and it has
proven to be a viable and cost effective alternative to traditional purchasing. The
vehicles are covered by a manufacturer's extended service contract during the
entire time of the lease which has proven valuable at reducing the annual cost of
fleet maintenance. The $1.00 end of lease purchase option allows the vehicles to
be declared surplus and sold to cover the equipment upfitting costs each time the
city enters into a new lease.

ANALYSIS OF ISSUES:
The current police fleet operates (9) marked police patrol vehicles. This includes
(6) patrol vehicles; (2) canine vehicles; and (1) supervisor vehicle. This proposal
calls for replacing these vehicles and maintaining the same number of patrol
vehicles.
A Vehicle Selection Committee was formed in the Police Department and members
of the committee had the opportunity to test and evaluate a number of police rated
vehicles. The committee unanimously selected to remain with the Dodge Charger
for patrol vehicles and selected the Dodge Durango for the canine and supervisor
vehicles due to their larger carrying capacity. Both the canine and supervisor
vehicles are required to carry significantly more equipment including built in kennels
for the canine vehicles and additional emergency response equipment for the
supervisor vehicle. The committee also had the opportunity to review the proposed
equipment upfitting and will work with the vendor to design and standardize the
finished vehicles.
The proposal calls for the award of bid to McPeek Dodge by "piggy backing" on
existing contracts from larger jurisdictions in order to achieve a cost benefit from
the larger orders. The Chargers will be based on the City of Visalia contract and the
Durangos will be based on the City of Los Angeles contract.
The proposal calls for the award of bid to California First Leasing Corporation, an
affiliate of California First Bank, for the lease financing at a rate of 2.57%.
California First Leasing Corporation is headquartered in Irvine, CA. Other bids for
financing were Rabobank at 2.67% and Mears Motor Leasing at 4.5%.
The proposal calls for the award of bid to Drive Customs for the equipment upfitting.
This is a sole source bid request due to the fact that there are no other vendors in
the San Luis Obispo County area or Northern Santa Barbara County that are both a
manufacturer representative and can manage a multi-vehicle fleet turn over in a
reasonable turn around time. The 2008 award of bid for upfitting went to a Los
Angeles area vendor based solely on cos~. That decision proved problematic when
repairs and service issues arose and the vendor was nearly 200 miles away. Drive
Customs provides upfitting services to the vast majority of San Luis Obispo County
law enforcement agencies and their bid is very competitive.

ADVANTAGES:
This proposed plan will continue to provide for the police fleet leasing program,
update the police vehicle fleet, maintain standardize equipment, reduce
maintenance costs and maintain residual values on the existing fleet for surplus
sale. Depending on the final sale value of the existing fleet, the proposed plan will
return approximately $20,000 to the general fund.
DISADVANTAGES:
The disadvantage of approving the recommended action is that it will commit to another
four year lease program for the police fleet. Costs would increase in the future if it was
determined to return to an ongoing purchase program.

The quote is subject to credit approval, final documentation and qualification as tax-
exempt. Rate is valid until 12/30/12, indexed upward until funding to the 4-Year
swap rate, currently at 0.58%.
It is anticipated that the transaction will be documented via a lease and related
documents provided by Lessor. Included in the documents will be a covenant by
Lessee that 100% of the project costs will be considered a capitalizable asset for
the term of the lease. This proposal is subject to the negotiation of all-final lease
documents and additional documentation, which may be required.
Lessee will designate the Lease/Purchase as a "qualified tax-exempt obligation"
within the meaning of Section 265(b)(3) of the IRS Tax Code. The Lessee does not
reasonably expect to issue more than $10,000,000.00 of obligations in the calendar
year as Lease/Purchase. Should the bank qualified status of this lease change,
Lessor reserves the right to adjust the proposed interest rate.

None other than those listed herein, however Lessee will be responsible for any
fees or expenses with respect to (i) the issuing costs; (ii) Lessee's legal counsel, if

If necessitated by the project implementation schedule, the proceeds of the
financing will be deposited in an escrow account established with a mutually
acceptable bank or trust company (the "Escrow Agent"). The Escrow Agent will
administer the investment of the escrow funds during the project implementation
period, as directed by Lessee, and as defined by relevant law and the Escrow
Agreement. Any interest earned on such investments shall be for the benefit of
Lessee and may be used for project costs.
This proposal is subject to the negotiation of final documentation, project due
diligence and credit approval by Lessor.

• If state sales tax is applicable to the sale of the Equipment to the Customer, such tax is exp!j,citly NOT the

• Either REL or Customer may terminate discussions at any time in its sole discretion.
• If made, an approval by REL would be in a separate writing and would be subject to legal and business due
diligence and credit review, with results satisfactory to REL, in its sole discretion.
Customer acknowledges that the terms of the financing (if approved) may change before the parties execute
final documentation.
• Prepayment Option Price: I 02% of principal balance outstanding {plus accured interest). Prepayment
option is in whole, and not in part.
• No financing terms will be binding on either party until Customer and REL sign definitive documentation.
• This Letter is not a statement of all terms and conditions of the financing, which terms and conditions
would be contained fully in final documentation and would supercede the terms of this Letter.
• This Letter is intended for the use of the Customer only, and no other party may rely upon or derive any
