R 2451 L~l RESOLUTION NO. 2451 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ARROYO GRANDE AMENDING CURRENT DISPOSAL SERVICE FRANCHISE AGREEMENT RATES, EFFECTIVE APRIL 1, 1991 WHEREAS, City Code Sections 6-4.10 and 6-4.ll provide for amendment of disposal service rates by the City Council of the City of Arroyo Grande; and (. WHEREAS, the City Council has reviewed new proposed disposal service rates in a public meeting. I NOW, THEREFORE, the City Council of the City of Arroyo Grande hereby amends the current rates, which were effective January 1, 1988, to become the new rates, effective April l, 1991, as displayed on the attached Exhibit "A," in accordance with Section 10.A of the Disposal Service Franchise Agreement between South County Sanitary Service, Inc., and the City of Arroyo Grande, dated February 1, 1991. J~~~1 GARBAGE FRANCHISE AGREEMENT C. In order to guarantee payment to CITY, CONTRACTOR shall provide a cash or surety bond in the face amount of Fifty Thousand Dollars ($50,000) to CITY, conditioned upon the faithful performance of this Agreement and the provisions of CITY's Ordinance, as well as all applicable laws and regulations. D. CITY agrees to bill CONTRACTOR's residential customers on said CITY's water billing when CITY water customers are identical to CONTRACTOR's customers, and CONTRACTOR requests CITY to do so in writing. CONTRACTOR agrees to reimburse CITY for ~ CITY postage costs at the current U.S. postcard mailing rate, plus fifteen (l5) cents per account billed, for handling and service cost reimbursement. CITY shall deduct postage, . handling, and service costs from all customer collection received by CITY on behalf of CONTRACTOR. CITY shall remit to CONTRACTOR all customer collection, less the franchise fee of five percent (5%) of the gross and less postage, handling, and service costs, on or before the last business day of the month following the month of collection. E. CONTRACTOR shall be responsible for all billing not done by CITY pursuant to Paragraph D. hereinabove and shall make all collections for services rendered under this Franchise Agreement. F. CONTRACTOR shall keep an adequate system of books and accounts in accordance with generally accepted accounting practices and shall keep and maintain all records for a period of at least three (3) years after the making thereof. All receivables for accounts billed by CONTRACTOR shall be maintained on,an accrual basis, for the purpose of determining the percentage of monies due tO,CITY under this Agreement. All receivables for accounts billed by CITY shall be maintained on a cash basis, for the purpose of determining the percentage of monies due to CITY under. this Agreement. City will have the right to examine all records and accounts at any time during CONTRACTOR's office hours. G. CONTRACTOR agrees to provide CITY with a statement of accounts billed directly by CONTRACTOR by virtue of this Franchise Agreement on or before the last business day of the month following receipt by CONTRACTOR and agrees to attach payment to CITY for the. Franchise fee percentage as set forth hereinabove. H. The CONTRACTOR will ensure that his record keeping permits the preparation of financial statements that are in conformance with generally accepted accounting practices and standards. The CITY and its auditors will have the right to examine all records and accounts at any time during the r CONTRACTOR's office hours. The CONTRACTOR will have an annual audit of his financial records performed at his own expense by'an independent certified public accountant. This audit, along with the accountant's audit report, shall be delivered to the CITY not later than six (6) months followlng the close of the CONTRACTOR.' s fiscal year. The audit report by the certified public accountant shall include the accountant's opinion as to the fairness of the allocation systems that are used to determine SOUTH COUNTY SANITARY SERVICE, INC. 's expenses and operating costs as separated from those of affiliate disposal services that share labor, staff, equipment, and/or any other expenses. The report shall also include his opinion as to whether expenses represented in the financial statement fairly and reasonably represent the costs of operating SOUTH COUNTY SANITARY SERVICE, INC. The CITY retains the option to perform its own audit at any time, at its sole expense, should the CITY find sufficient cause for such action. GARBAGE FRANCHISE AGREEMENT I ! i \ accepted accounting principles, then CONTRACTOR shall reimburse I CITY the cost of the audit. 3. INSURANCE AND INDEMNITY TO CITY A. CONTRACTOR shall procure and maintain during the life of this Agreement the following insurance coverage, naming CITY and its officials and its employees as the insured and providing that the insurance shall not be cancelled without thirty (30) days' prior written notice to CITY; . l) Comprehensive General Liability, with a $1,000,000 limit per occurrence for bodily injury, personal injury, I I and property damage; I 2) Automobile Liability, with a $1,000,000 combined single limit per accident for bodily injury and property damage; ~ 3) Workers' Compensation, with limits as required by the Labor Code of the State of California; and employer's liability, with limits of $1,000,000 per accident; CONTRACTOR shall provide CITY with a copy of each insurance contract within ten (10) days from the date of execution of this agreement. B-. CONTRACTOR agrees 'to appear and defend all actions against CITY, arising out of or in connection with this Agreement and/or CONTRACTOR's performance thereof, and to indemnify, save, and hold CITY, its officers, employees, and agents harmless of and from all claims, demands, actions, or causes of action of every kind and description resulting directly or indirectly from,- arising out of, or in any way connected with this Agreement. Said Agreement to appear, defend, indemnify, and hold harmless shall specifically include, but in no way be limited to, any and all claims, demands, actions, or causes of action related to the collection, 'hauling, stor ing, and disposal of hazardous waste materials. C. CITY does not assume any responsibility for, nor shall it be held liable for, damages for the failure on the part of any person, firm, or corporation producing solid waste within the CITY to deliver the same to CONTRACTOR; provided, however, it is mutually understood and agreed that CITY and its officers designated by CITY Ordinances to enforce the provisions relating to mandatory garbage pickup will, at all times during the period of this Agreement, take all reasonable steps as provided therein . to enforce said provisions. 4. DISPOSAL SITE CONTRACTOR shall, at its own expense, provide a parcel . of land for disposal of the solid wastes, garbage, refuse, and J materials collected pursuant hereto. All charges and expense of use of said site shall be borne by CONTRACTOR. No liability or responsibility for said use shall be incurred by CITY. Its location shall be approved by the County Health Department of the county in which the site is located and the State Board of Health. This disposal site may be owned by CONTRACTOR or may be used by it pursuant to Agreement. All solid waste Collected within CITY shall be delivered to said disposal site and disposed of in accordance with the regulations of said disposal site. The site shall be made available to CITY residents at county-approved rates and during normal operating hours. 3 ---- --_._._-~_...- RESOLUTION NO. 2451 a_; GARBAGE FRANCHISE AGREEMENT 5. CONTRACTOR'S OFFICE CONTRACTOR shall maintain an office and or customer paying station within CITY and shall maintain a listed telephone on the local exchange. The office and telephone shall be open to the public, with a responsible adult in attendance during usual business hours. 6. COMPLAINTS CONTRACTOR shall act on all complaints immediately and shall not represent in any manner that his operations are a municipal function. A record of all complaints shall be maintained by CONTRACTOR and forwarded to CITY. This record shall contain the following information: - address of the complaining party; - nature of the complaint; -date received; -date acted on; and - remedial action taken by CONTRACTOR 7. CLEAN -UP WEEK Each year for a period of two days, said days to be mutually satisfactory to CITY and CONTRACTOR, CONTRACTOR shall collect during regularly scheduled service, without additional charge, all additional solid waste fr to ial c ustome r s placed at the curb by said customers, pursuant hereto as "Exhibit B." 8. RIGHTS OF CITY A. It is hereby expressly agreed by and between the parties hereto that said CITY shall have, and there is hereby reserved unto said powers, and privileges that under CITY, provisions all rights, p and of said Ordinance, might be expressly set out in the Agreement in favor a of said Cl owers d , and privileges indfavor express mention of not intenntended e rights, and p id to, and shall not be deemed or construed to exclude, any other right, power, or privilege in favor of said CITY that might be expressly reserved herein. B. Notwithstanding any language in this Agreement, the Health Officer and City Building Inspector of the CITY shall have power to establish rules an d nretk regulations, s b ject le o the app of the City Council, governing removing, and disposing of garbage and refuse not inconsistent with the provisions of this Agreement. 9. DEFAULT All terms and conditions herein are considered material, and in the event CONTRACTOR defaults in the performance of any of the covenants or agreements to be kept, done, or performed by it under the terms of this Agreement, the CITY shall give the CONTRACTOR written notice, either by mail or personal service, setting forth the default. If CONTRACTOR fails, n e eglects remedy refuses for a period of twenty (20) days the default, then this Agreement shall, at the option of CITY, by Resolution of the City Council of the said CITY, be terminated and ended; and CONTRACTOR shall thereafter have no further rights, powers, or privileges as against said CITY under or arising through this Agreement. 4 .J....V RESOLUTION NO. 2451 GARBAGE FRANCHISE AGREEMENT 10. COLLECTION RATES A. Collection rates chargeable to customers of CONTRACTOR ,shall be as set out by Resolution of the City Council of CITY and kept on file in the office of the City Clerk. Per iodically amended rates to Residential customers shall be rounded to the nearest nickel following any percentage calculation. Periodically amended rates to Commercial customers shall be rounded to the nearest dollar following any percentage calculation. CONTRACTOR may bill customers for service no more than two (2) months in advance on regular service accounts. B. Modifications to collection rates shall be made only by Resolution of the City Council of CITY after public hear ing. Any request for a rate increase regarding the landfill ....I will be presented to the CITY at least sixty (60) days prior to the request appearing on the County Board of Supervisor's agenda for a public hearing. This sixty- (60) day notice will provide the CITY an opportunity to conduct a local public hearing and comment to the Board of Supervisors. City will respond to CONTRACTOR , within sixty (60) days of County Board of Supervisor's approval. , CONTRACTOR will provide sufficIent data to support the landfill rate increase request, including the amount of garbage tonnage disposed at the landfill from each South San Luis Obispo County city, by residential and by commercial, ,and total revenues received for each South San Luis Obispo County city. C. CITY shall review the collection rates upon application by CONTRACTOR, provided there has not been an increase in collection rates, excluding landfill pass-through costs, effective during the twelve-" (12) month period immediately preceding the application. CITY may consider a request outside of the schedule stipulated in this paragraph upon demonstration by CONTRACTOR that it has incurred extraordinary and consequential cost increases. However, prior to CONTRACTOR committing funds for anticipated extraordinary expenses, CITY must approve their necessity. D. Operators' Return on Rate Base: In giving consideration to a rate change, the City Council shall allow CONTRACTOR a rate of, return s~milar to that suggested by the guidelines of the California Public Utilities Commission for companies similar to CONTRACTOR, or more specifically: CONTRACTOR shall be allowed a rate of return of eleven and one-half percent (II l/2%). The formula for CONTRACTOR's return is as follows: Net Income After Taxes divided by Total Investment in Productive Assets, I.e., Productive Fixed Assets (not including land) less Depreciation, computed by using straight line method. Also Working Capital is to be excluded from this computation. All operating expenses used in arriving at the above mentioned net income shall I include all ordinary, necessary, and reasonable expenses of J CONTRACTOR. However, total officer compensation is not to exceed $120,000 per year as CONTRACTOR expense, but as adjusted annually , by the Los Angeles-Long Beach-Anaheim Metropolitan Area All Urban Consumer Price Index, as established at March 31 each year. E. Upon application for a rate increase, CONTRACTOR shall furnish CITY with a detailed schedule of the annual gross operating expenses and gross revenue for the company's preceding three (3) fiscal years, using the PUC guidelines. CONTRACTOR shall. also furnish to CITY a detailed schedule of the projected annual operating gross expenses for each of the succeeding two (2) fiscal years, together with the assumptions used in making said projections. The schedules required herein shall include the following information: 5 -- ---- RESOLUTION NO. 24f:~ 7 GARBAGE FRANCHISE AGREEMENT -Salaries of all officers of CONTRACTOR; -Equipment inventory, including date of acquisition, , I acquisition costs, trade-in value, life assigned for depreciation ! and type of depreciation used, depreciation expense schedule, capital improvements to increase life of equipment, and improvements or maintenance costs not capitalized; -Chart of Accounts; -Lists of pooled expenses and description of how these are pro-rated to various companies; -Plan for wages and salary adjustments; -Employee benefits; -Policy for acquisition of property, equipment, and special services; . -Description of how tax rebates are handled; -Delinquent account collection practices and success; -Franchise tax computation and payments; -A comparison to FUC Guidelines for operating ratios and rate of return allowed therein. F. CITY shall not increase rates in order to reimburse CONTRACTOR for any losses during a prior period but shall increase rates only to provide a fair return for future periods. G.. For hardship cases, a, special rate of one dollar ($1.00) for single plastic 32-gallon bag (furnished by CONTRACTOR) may be allowed. Said sum shall be a minimum monthly amount. Determination of hardship cases will be made by a representative of the CONTRACTOR and one (l) Council Member designated by the City Council. . ll. COLLECTION PRACTICES A. CONTRACTOR agrees at all times to give prompt, efficient, sufficient, and courteous service to the residents of City, to the reasonable satisfaction of the City Council of CITY. B. CONTRACTOR shall, without cost to the CITY, empty all containers provided by the CITY that are located on CITY property indicated on "Exhibit A" attached hereto and incorporated herein by this reference. CONTRACTOR shall not be required to do or perform any "street sweeping," or hauling of street sweeping debris or "tree trimmings" from CITY streets, parks, or recreation areas. C. CONTRACTOR shall maintain all equipment operated by it within the CITY in a clean, neat, and attractive condition and in good repair. CONTRACTOR shall use every reasonable effort not to litter premises in the process of making cOllections, nor to allow refuse to blow or fall from any vehicle used for collections. Collections shall be made without damage to public or private property; premises shall be left in a neat and clean condition; and containers shall be handled as .not to damage them. D. CONTRACTOR shall provide regular collection service to residential and commercial accounts within the CITY during the term of this Agreement. E. CONTRACTOR agrees to comply with each and all of the terms of the laws under which the CITY is organized and operated and Ordinances of said CITY and all the laws of the State of California applicable to this Agreement, which are hereby made a part hereof. CITY reserves the right to revise any of its laws and regulations pertaining to solid waste disposal in order to protect public health, safety, and welfare. OWNERSHIP All refuse placed at curbside for collection by CONTRACTOR shall become the property of CONTRACTOR; however, recyclables placed at curbside in special containers for collection by recycling companies shall not become the property of CONTRACTOR. 13. ASSIGNABILITY I This Franchise shall not be assigned nor sUblet,. neither voluntarily nor involuntarily by operation of law, without the express written consent of the City Council of the CITY OF ARROYO GRANDE, which .consent shall not be withheld unreasonably. ~ The transfer of any interest representing an aggregate of twenty- six percent (26%) or more in CONTRACTOR's ownership would require CITY's consent pursuant to this section. ! l4. PERMITS AND LICENSES CONTRACTOR shall procure and maintain in force and effect all necessary governmental permits and licenses, including registration to haul hazardous waste to a certified hazardous waste disposal site,' pay all charges and fees, and give all notices necessary to the due and lawful execution of the work contemplated herein. l5. NOTICES All notices required or given pursuant to this Agreement shall be in writing and shall be deemed properly served when delivered in person or deposited, first class postage prepaid, in the United States Mail, addressed to: CITY: CONTRACTOR: CITY OF ARROYO GRANDE SOUTH COUNTY SANITARY P. SEVERABILITY If any term or provision of this Agreement shall, to any extent, be determined by a court of competent jurisdiction to be invalid or unenforceable, the remainder of this Agreement shall not be affected thereby! and each term and provision of this Agreement shall be valid and be enforceable to the fullest extent .J permitted by law. Pursuant to the terms of that certain Ordinance 148 C.S., adopted by the City Council of the City of Arroyo Grande, the CITY desires to grant an exclusive f~anchise for the collection and disposal of rubbish, refuse, and garbage (hereinafter collectively referred to as "solid waste," but not including materials intended to be recycled) in the CITY. . This Agreement supersedes that certain Agreement dated J February 1, 1985, and as extended to February 1, 1992. The parties mutually agree as follows: 1. GRANT OF FRANCHISE; TERM; RENEWAL AND ACCEPTANCE A. CITY does hereby give and grant to the said. CONTRACTOR the exclusive right and franchise to collect, transport, and dispose of garbage, rubbish, and refuse (as the same have been defined in CITY's Municipal Code; but not to include materials to be recycled) in and for the CITY OF ARROYO GRANDE for the period of five (5) years, commencing April 1, 1991, and terminating March 31, 1996. B. CONTRACTOR shall have a FIRST RIGHT OF REFUSAL to an additional five- (5) year fral19hise, provided CONTRACTOR requests in writing such additional franchise one (1) year prior to the expiration of this Franchise Agreement. In the event CONTRACTOR makes such a request, CITY shall put the additional five- (5) year franchise out to bid, but shall award such franchise to CONTRACTOR if CONTRACTOR agrees to the same or better terms and conditions as the lowest responsible bid acceptable to CITY. In the event tnere are no competing bids submitted to CITY for the franchise, then CONTRACTOR shall have the right to such additional five-year franchise, subject to the same terms and conditions set forth herein. C. CONTRACTOR hereby accepts the franchise and agrees ,to collect, transport, and dispose of garbage, rubbish, an~ refuse at the rates hereinafter provided, in accordance with this Agreement and all applicable laws, rules, and regulations of any governmental agency, including CITY. 2. FRANCHISE PAYMENTS, DELINQUENCY; GUARANTEE; COLLECTION OF ACCOUNTS . A. In consideration for the exclusive grant of franchise herein, CONTRACTOR agrees to pay to CITY the sum of five percent (5%) of annual gross garbage collection revenues within the . CITY, payable monthly on or before the last business day of the I following month, during the term of this Agreement. Gross garbage J collection revenues shall be calculated on an accrual basis, with an allowance for a two percent (2%) bad debt reduction on commercial accounts and those accounts collected directly by CONTRACTOR. Gross revenues shall be calculated on a cash basis for all residential accounts collected by CITY. Payment shall be made to CITY at City Hall, P. O. Box 550, Arroyo Grande, CA 93421. B. Payments made more than thirty (30) days after the date due shall be delinquent. CONTRACTOR or CITY shall pay a late charge of five percent (5%) per month, or any part thereof, on the amount delinquent, to cover added administrative expenses on the part of CITY or CONTRACTOR by reason of such delinquency. The parties agree that such sum represents a fair estimate of such added expenses.
