RESOLUTION NO. 3767
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
ARROYO GRANDE CONSENTING TO THE ASSIGNMENT OF
THE AGREEMENT FOR STREET SWEEPING SERVICES
WHEREAS, on or about April 4, 2003. the City of Arroyo Grande ("City") entered into a
month-to-month agreement for street sweeping services with Daystar Industries (the
"Agreement"); and
WHEREAS, Daystar Industries desires to assign the Agreement to SP Maintenance
Services, Inc.; and
WHEREAS, Section 10 of the Agreement states that the Agreement is not assignable
without the prior written consent of City; and
WHEREAS, the City Council has reviewed all written cOmments, staff reports and
related materials which are a part of the record in this matter.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Arroyo
Grande that:
1. City consents to the assignment of the Agreement to SP Maintenance
Services, Inc.
2. This consent to assignment shall not release assignor of its duties and
obligations under the Agreement.
3. This consent to assignment shall become effective upon satisfaction by
SP Maintenance Services, Inc. of all conditions precedent under the
Agreement, including, but not limited to applicable insurance
requirements.
On motion of Council Member Runels, seconded by Council Member Costello, and on
the following roll call vote, to wit:
AYES: Council Members Runels, Costello, Lubin and Mayor Ferrara
NOES: None
ABSENT: Council Member Dickens
The foregoing Resolution was passed and adopted this 27th day of July, 2004.
